Either party may terminate this approval for convenience upon written notice to the other party delivered not less than days prior to the intended termination date. Termination for material breach may be immediate if the breaching party fails to cure within the cure period specified elsewhere in this document or as otherwise agreed in writing.

Confidentiality

Each party acknowledges that during performance it may receive Confidential Information of the other party. "Confidential Information" means nonpublic, proprietary or business information disclosed in any form that is designated as confidential or that a reasonable person would understand to be confidential. Each party agrees: (a) to hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information; (b) not to disclose Confidential Information to third parties except to employees, agents or contractors who have a legitimate need-to-know and are bound by comparable confidentiality obligations; and (c) to use Confidential Information only for purposes of performing obligations under this approval. Confidential Information does not include information that is or becomes publicly available without breach, is independently developed, or is rightfully obtained from a third party without confidentiality obligations.

The Requesting Business shall indemnify, defend and hold harmless the Approving Business from and against any third-party claims arising out of the Requesting Business's negligent or willful performance under the approved scope, except to the extent caused by the Approving Business's gross negligence or willful misconduct.

Governing Law

This Business Approval Form shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement
