What a Business Approval Resolution Is and When it's Used

A Business Approval Resolution is a formal written decision adopted by a company's board of directors or other authorized governing body that documents approval of a specific corporate action — for example, opening bank accounts, approving contracts, appointing officers, or authorizing mergers. The resolution records the authority granted, identifies the actors and limits of that authority, and becomes part of corporate records. Where electronic execution is permitted, the resolution may be executed and retained electronically consistent with the ESIGN Act (15 U.S.C. ch. 96) and state UETA frameworks.

Why a Clear Resolution Matters for Authority and Risk Management

A precise Business Approval Resolution creates an auditable record of corporate authority, reduces disputes about who may act for the company, and helps banks, vendors, and regulators verify decisions. It also supports internal controls and can reduce transaction delays when third parties require certified or notarized proof of authorization.

Why a Clear Resolution Matters for Authority and Risk Management

Who Typically Prepares and Relies on These Resolutions

The document is prepared and used by corporate governance stakeholders and external counterparties who must verify authority.

  • Board of Directors: Drafts, debates, and votes to adopt the resolution at a board meeting or by written consent.
  • Corporate Officers: Corporate secretary or counsel typically prepares and certifies the resolution for third-party use.
  • Banks and Service Providers: Rely on certified copies to open accounts, wire funds, or accept authorized signatories.

Use clear identification and certified copies when sharing with banks, escrow agents, or registration authorities.

Representative Roles That Sign or Certify Resolutions

Corporate Secretary

The corporate secretary usually prepares the resolution text, records the board action in minutes, and issues certified copies. They confirm that the resolution aligns with the articles of incorporation, bylaws, and any prior board approvals before certification and distribution.

Bank Compliance Officer

A bank compliance officer reviews corporate resolutions to verify authorized signers and signature authorities. They often require a certified or notarized copy and may request additional verification such as an EIN letter or incumbency certificate.

Step-by-Step: Preparing and Adopting a Business Approval Resolution

Follow a consistent sequence from drafting to distribution to ensure legal validity and acceptance by third parties.

  • 01
Draft Resolution: Prepare clear recitals, resolved clauses, and certification language reflecting the board action.
  • 02
Board Approval: Adopt the resolution at an authorized meeting or by unanimous written consent per bylaws.
  • 03
Certify and Sign: Have the corporate secretary or authorized officer sign and date; notarize if required by recipient.
  • 04
Distribute and File: Provide certified copies to banks or counterparties and file the original with corporate minutes.

Core Elements Every Professional Resolution Should Include

A professional resolution is concise but comprehensive: it states facts, authorizes action, limits authority where needed, and provides certification data for verification.

Title and Recitals

Begin with a clear title and recitals that summarize the meeting, authority to act, and reasons for the resolution so third parties can confirm corporate context.

Resolved Clauses

State each authorization as a separate 'Resolved' clause naming the specific powers granted, any monetary limits, and the duration of authority if temporary.

Authorized Signatories

List each authorized person with full legal name and corporate title, and specify whether signatures may be concurrent or require multiple signers.

Effective Date

Include an effective date in MM/DD/YYYY format to identify when authority begins and to frame timing for transactions and filings.

Certification Statement

Add a signed certification by the corporate secretary or authorized officer confirming the resolution's adoption and that it is in the corporate records.

Notary or Seal (if needed)

When a recipient requires it, attach a notary acknowledgement, electronic notarization record, or corporate seal to the certified copy.

Essential Data Points to Include for Verification

Legal Entity: Full registered name
Governing Law: State of formation
Resolution Date: MM/DD/YYYY
Authorized Persons: Names and titles
Scope of Authority: Specific actions
Certification Details: Signer name and date

Common Preparation Errors to Avoid

  • Using an informal or vague description of authority that leaves banks or counterparties unsure who may sign or what is authorized.
  • Mismatching the company name or officer names with formation documents or the EIN, causing third-party rejection.
  • Failing to include a certification or notary when the recipient explicitly requests a certified or notarized copy.
  • Distributing unsigned or undated copies or failing to attach board minutes or written consent confirming adoption.

Risks from an Incorrect or Incomplete Resolution

Contract Invalidity: May be unenforceable
Bank Refusal: Accounts or transactions blocked
Regulatory Exposure: Compliance inquiries or fines
Fraud Risk: Unauthorized actions enabled
Operational Delays: Transaction processing paused
Litigation: Disputes over authority

Where Certified Resolutions Are Filed and Sent

Resolutions remain corporate records but certified or notarized copies are provided to third parties that require proof of authority.

  • Corporate Records: Original and minutes retained in the company minute book.
  • Banks and Escrow: Provide a certified copy for account opening or escrow authority.
  • Contracting Counterparties: Attach when the counterparty requires evidence of signing authority.
  • Regulatory Agencies: Submit a certified copy if expressly required by statute or regulation.

Configuring an Electronic Approval Workflow for the Resolution

Set up a clear digital workflow to collect signatures, evidence of adoption, and certified copies when needed.
