WHEREAS

WHEREAS, Client Name: is engaged in the sale of goods or services that generate accounts receivable and desires to retain the Service Provider to perform accounts receivable management, billing, and collection services on the terms set forth herein;

WHEREAS, Service Provider Name: has experience and resources to service, collect, and manage accounts receivable and may, subject to this Agreement, purchase or finance certain receivables as agreed in writing;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows.

Scope of Work

The Service Provider shall provide the following accounts receivable services, which may include billing, invoicing, reconciliation, collection, ledger management, reporting, and, if applicable, purchase or financing of receivables. Specific duties, performance standards, and exclusions are set forth below.

Payment Terms

Service Fee / Purchase Consideration: The Client shall pay the Service Provider fees as described below, or the Parties shall agree to purchase consideration for assigned receivables pursuant to a separate schedule.

Late Payment and Collection Charges: If Client fails to pay amounts due for services or remittances due under this Agreement within the time agreed in the Payment Schedule, Client shall pay a late fee of on unpaid balances, and the Service Provider may charge reasonable collection costs, including attorneys' fees.

Term and Termination

This Agreement shall commence on Start Date: and shall continue through End Date: unless earlier terminated in accordance with this section.

Either Party may terminate this Agreement for convenience upon written notice to the other Party at least days prior to the effective termination date. Either Party may terminate this Agreement immediately for material breach if the breach is not cured within 30 days after written notice of such breach.

Confidentiality

Each Party (the Receiving Party) shall hold in strict confidence and shall not disclose to any third party any Confidential Information of the other Party (the Disclosing Party). "Confidential Information" means non-public business, financial, customer, receivable, and pricing information disclosed in connection with this Agreement, but does not include information that (a) is or becomes generally known to the public through no fault of the Receiving Party, (b) was rightfully known to the Receiving Party prior to disclosure, or (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party shall limit disclosure of Confidential Information to employees, agents, and permitted subcontractors with a need to know, and shall ensure such persons are bound by confidentiality obligations at least as protective as those in this Agreement. The confidentiality obligations shall survive termination for a period of unless otherwise required by law.

Representations and Warranties

Each Party represents and warrants that it has full power and authority to enter into this Agreement, that the Agreement constitutes a valid and binding obligation, and that the execution and performance do not violate any other agreement or law. Client further represents that it has the right to assign or grant the Service Provider the agreed rights with respect to the accounts receivable described herein.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below without regard to conflicts of law principles.

Assignment; Notices; Miscellaneous

Neither Party may assign its rights or obligations under this Agreement without the prior written consent of the other Party, except that Service Provider may assign its rights to a financing party in connection with the sale or pledge of receivables. Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either Party may designate in writing.

Entire Agreement

This Agreement, including any schedules and exhibits executed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment shall be effective except in a written instrument signed by both Parties.
