What a Business Arrangement Agreement Covers

A Business Arrangement Agreement is a written contract that records the rights, duties, and expectations between two or more commercial parties entering a joint activity, partnership, service arrangement, or project-specific collaboration. Typical provisions identify the parties, define the scope of work or services, set terms for compensation or consideration, allocate risk and liability, describe performance milestones, and establish dispute-resolution procedures. Well-drafted agreements reduce ambiguity, set measurable obligations, and create an evidentiary record useful for enforcement, regulatory compliance, and internal governance.

Why using a clear Business Arrangement Agreement matters

A written agreement clarifies expectations, lowers litigation risk, and memorializes commercial terms that courts and regulators can enforce. Electronic execution is generally valid under the federal ESIGN Act (15 U.S.C. ch. 96) and state UETA statutes, subject to listed exceptions.

Why using a clear Business Arrangement Agreement matters

Core components to include in the agreement

Include concise, specific clauses that define who does what, when, for how much, and under what legal rules to avoid ambiguity and make performance measurable.

Parties

Full legal names and entity types of every party, including state of formation and any DBAs; use exact legal entity names to avoid ambiguity.

Scope

Precise description of goods, services, deliverables, or project milestones, including acceptance criteria and deliverable formats.

Consideration

Payment terms, invoicing cadence, withheld sums, and any noncash consideration; tie amounts to clear milestones or performance triggers.

Term & Termination

Effective date, duration, renewal terms, and termination rights with notice periods and post-termination obligations such as transition assistance.

Liability & Indemnity

Caps on damages, indemnification scope, and exceptions for gross negligence or willful misconduct; specify insurance requirements when relevant.

Dispute Resolution

Choice of law and forum, and whether arbitration, mediation, or court litigation governs dispute resolution; include venue and attorney fee provisions if agreed.

Step-by-step: preparing and signing the agreement

Follow a clear sequence to draft, review, approve, and execute the agreement to reduce errors and ensure enforceability.

  • 01
Draft Terms: Assemble scope, consideration, and timelines before circulating for review.
  • 02
Internal Review: Have legal and finance review for compliance, tax, and accounting impacts.
  • 03
Finalize Language: Resolve open points, confirm attachments, and number exhibits.
  • 04
Execute: Obtain all signatures, dates, and required notarizations or witness attestations.

Typical online workflow settings to configure

When using an eSignature workflow, configure field behavior, signer order, and authentication before sending to avoid rework and incomplete signings.

Field | Configuration Type | Behavior
Signer Order Sequential | Sends in defined order
Authentication Level Email or SMS | Choose per risk profile
Required Fields Yes | Prevents submission if blank
Audit Trail Enabled | Records IP, timestamps

Digital signing and technical requirements

Confirm file formats, signer authentication, and integrations required to process the agreement electronically.

  • Supported Formats: PDF, DOCX
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Security Controls: TLS 1.2/1.3, AES-256

Use a platform that can produce a tamper-evident audit trail and retain signed records in compliance with ESIGN and UETA requirements.

Where to send signed copies and who should receive them

Distribute executed copies promptly to stakeholders and retain originals in corporate records to support audits and regulatory review.

  • To All Parties: Provide final signed PDF to each contractual party.
  • Corporate Records: Store an executed original in the company records vault.
  • Accounting: Send invoices and payment schedules to finance.
  • Legal Counsel: Forward a copy for regulatory and compliance reference.

  • Small business owners finalizing vendor relationships and partnership terms
  • In-house legal or outside counsel drafting role-based obligations and indemnities
  • Contract managers and procurement teams enforcing scope, pricing, and SLAs
