This Business Article Approval Agreement (the Agreement) is entered into effective as of (Effective Date), by and between the parties identified below.

Recitals

WHEREAS, the Submitting Party has prepared articles of organization or articles of incorporation titled "" (Articles), and seeks approval for submission and filing with the appropriate filing authority; and

WHEREAS, the Approving Party is authorized by its internal governance to review and approve such Articles and to authorize filing or recordation where necessary; and

WHEREAS, the parties wish to set forth the scope of the review, the terms of approval, payment terms for any services rendered in connection with the Articles, and other terms governing their relationship with respect to the Articles.

Scope of Work

The Submitting Party shall deliver the Articles and any supporting documentation described below. The Approving Party shall review the Articles, provide comments or required revisions, and, upon satisfaction, provide written approval authorizing the Submitting Party to proceed with filing.

Payment Terms

The Submitting Party or Approving Party, as indicated below, shall be responsible for fees associated with the preparation, review, and filing of the Articles as set forth in this section.

Term and Termination

This Agreement commences on and continues until unless earlier terminated pursuant to the terms below.

Either party may terminate this Agreement for material breach by the other party that remains uncured for the notice period specified above, or immediately upon written notice for willful misconduct or fraud. Termination does not affect accrued payment obligations or confidentiality obligations.

Confidentiality

Each party shall maintain in confidence any non-public information disclosed by the other party in connection with the Articles and this Agreement ("Confidential Information"). Confidential Information shall not include information that is or becomes public through no breach of this Agreement, independently developed, or rightfully received from a third party without restriction.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement. The Submitting Party represents that the Articles are accurate to the best of its knowledge and comply with applicable law at the time of submission. The Approving Party's approval shall not be deemed a warranty of legal sufficiency or compliance beyond the scope of review expressly identified in this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

Entire Agreement

This Agreement, together with any attached exhibits and the Articles specifically referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

The Approving Party hereby approves the Articles described herein for submission and authorizes the Submitting Party, subject to any conditions set forth in writing, to file or effectuate such Articles with the appropriate authority.
