What the Business Articles of Agreement Is and When It’s Used

A Business Articles of Agreement is a formal written contract that records the core terms between business parties—typically formation details, ownership percentages, management structure, capital contributions, profit and loss allocation, and duration or termination conditions. It functions as a foundational governance document that sits alongside articles of organization/incorporation and an operating agreement where applicable. The document clarifies roles, economic rights, and dispute-resolution mechanisms so that founders, investors, and managers have a clear, enforceable record of their agreed arrangements.

Why a Clear Articles of Agreement Matters for Your Business

A well-drafted Business Articles of Agreement reduces ambiguity about ownership, decision authority, financial obligations, and exit processes, lowering the risk of disputes and supporting reliable external filings and banking relationships.

Who Typically Prepares and Signs Articles of Agreement

Parties and professionals involved in preparing Business Articles of Agreement vary by entity type, transaction complexity, and jurisdiction.

  • Investors, lenders, or key executives who require explicit governance and economic terms before committing capital.

In many cases, a combination of founders and counsel draft the document, then authorized signatories execute and, if required, notarize or file with state agencies.
