What the Business Artwork Document Is

The Business Artwork Document is a standardized file used to record artwork specifications, ownership and approval history for commercial materials such as logos, packaging, marketing collateral, and product artwork. It combines technical details (color profiles, DPI, bleed, and file formats) with legal elements (copyright assignment, licensing terms, approval dates, and signatory authority). Organizations use it to ensure consistent reproduction, clear intellectual property rights, and an auditable approval trail. When executed electronically, the document must meet ESIGN and UETA requirements for intent, consent, attribution, and retention to be legally enforceable.

Why a Business Artwork Document Matters

A Business Artwork Document centralizes technical and legal details, reduces production errors, documents signatory approvals, and clarifies IP rights. It streamlines vendor handoffs, supports compliance when signed electronically under ESIGN/UETA, and reduces disputes over final art.

Why a Business Artwork Document Matters

Who Typically Prepares and Approves Artwork Documents

In-house designers, external agencies, print vendors, legal counsel, and product managers commonly use the Business Artwork Document to record approvals and technical specifications.

  • In-house design teams ensure color consistency and brand compliance across deliverables.
  • Print vendors rely on DPI, bleed, and CMYK specifications for correct production.
  • Legal and IP teams track ownership, licensing, and transfer agreements tied to artwork.

Cross-functional use ensures technical fidelity, legal clarity, and a single source of truth for production and reuse.

Step-by-Step: Prepare and Finalize the Artwork Document

Follow these steps to prepare, approve, and archive the Business Artwork Document for consistent production and legal clarity.

  • 01
Collect Files: Gather source files, fonts, and linked assets with version notes.

  • 03
Assign Rights: Document copyright, license terms, and any transfer of ownership.
  • 04

Core Elements Every Professional Artwork Document Should Include

Essential components that make a Business Artwork Document effective: clear specs, rights language, signer data, and traceable approvals for production consistency and legal clarity.

Technical Specs

List exact file formats, color modes, resolution, trim and bleed dimensions, required fonts, and any linked assets so printers and production teams reproduce the artwork without ambiguity.

Rights

Specify ownership, license scope, permitted uses, duration, territorial limits, and any transfer or assignment terms to prevent later disputes over commercial exploitation or derivative works.

Approval Log

Include approver name, title, date, approval notes, and version number so decisions are auditable and reversible in case of production errors or client disputes.

File Attachments

Attach editable source files plus print-ready PDFs. Provide checksums or version hashes and note any font licensing limitations or embedded images. Also include layered files and export settings for precise reproduction.

Change Control

Record any revisions with rationale, date, author, and impact on production timelines; require re-approval for material changes to pricing, content, or IP and distribution schedules.

Audit Trail

Maintain timestamped actions, signer authentication method, IP address, and document hash to support legal enforceability and to assist in resolving challenges to signature validity or chain-of-custody questions.

Security and Compliance Checklist

Encryption In Transit: TLS 1.2/1.3 enforced for transmissions
Encryption At Rest: AES-256 full-disk or object encryption
Audit Trails: Timestamp, IP, action log retained
HIPAA Support: Business Associate Agreement available
21 CFR Part 11: Controls for electronic records and signatures
Certifications: SOC 2 Type II, ISO 27001, PCI DSS

Penalties and Key Risks of an Incorrect Document

Production Costs: Unexpected reprints and rush fees
IP Infringement: Statutory damages and injunctive relief
Contract Breach: Loss of license or termination
Delay Penalties: Missed launch and financial penalties
Incorrect Signatory: Agreement unenforceable; disputed approvals
Data Exposure: Liability for leaked confidential assets

Common Preparation Mistakes to Avoid

  • Submitting artwork without embedded ICC profiles or incorrect color modes causes inconsistent prints and requires costly color-correction iterations with printers.
  • Vague licensing language such as 'use rights' without territory or duration often leads to disputes over reuse, adaptations, and sublicensing.
  • Providing only flattened images or low-resolution exports forces manual reconstruction of layered originals and may violate font licensing.
  • Delays in signoff compress production timelines, increase rush charges, and risk missing regulated release or campaign launch dates.
