  • Leaving monetary fields vague or using terms like 'reasonable compensation' leads to disputes; state exact amounts, calculation methods, and invoicing schedules to prevent ambiguity.
  • Omitting signature dates or using inconsistent date formats can affect the effective date and retention calculations, complicating enforcement and statute of limitations determinations.
  • Failing to attach required exhibits, such as scope schedules or pricing tables, creates incomplete agreements and increases the chance of contested deliverables or unpaid invoices.

Consequences of errors or missing information

Incorrect Tax Info: May trigger 24% backup withholding.
Late Filing: IRS penalties $60–$330 per form.
I-9 Errors: Civil fines $281–$2,789 per violation.
Missing Notary: May render documents unrecordable.
Breach of HIPAA: Civil penalties and BAA obligations.
