WHEREAS, Consultant has represented that Consultant possesses the expertise, personnel and resources necessary to perform the assessment and deliver the services described in this Agreement; and

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination for convenience by Client is permitted upon payment to Consultant of all fees and costs incurred up to the effective date of termination and any reasonable wind-down costs.

CONFIDENTIALITY

Consultant and Client shall each keep confidential all non-public information disclosed by the other party in connection with this engagement. Confidential information does not include information that (i) is or becomes publicly known through no breach of this Agreement, (ii) is lawfully received from a third party without restriction, or (iii) is independently developed without use of the other party's confidential information. Each party shall use at least the same degree of care to protect the other's confidential information as it uses to protect its own confidential information, but in no event less than a reasonable standard of care.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of: without regard to conflict of laws principles. Venue for any dispute arising out of this Agreement shall be in the courts located within that jurisdiction, and each party hereby consents to such jurisdiction and venue.

Entire Agreement: This Agreement, together with any attachments or written statements of work referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.
