BUSINESS ASSIGNMENT AGREEMENT

This Business Assignment Agreement ("Agreement") is made effective as of by and between Assignor Name: , with principal address , and Assignee Name: , with principal address .

RECITALS

WHEREAS, Assignor owns and operates a business engaged in the sale or provision of goods and/or services identified as: (the "Business"), including related goodwill, assets, and contractual rights; and

WHEREAS, Assignee desires to acquire from Assignor, and Assignor desires to assign to Assignee, certain assets, rights and obligations of the Business pursuant to the terms and conditions set forth in this Agreement.

SCOPE OF ASSIGNMENT

The assets and rights assigned hereby shall include, without limitation, the following categories where owned by Assignor: goodwill; trade names; customer lists; inventory; tangible personal property; contracts and agreements (to the extent assignable); intellectual property; permits and licenses; and accounts receivable. Excluded assets, if any, are set forth as: .

CONSIDERATION AND PAYMENT TERMS

TERM AND TERMINATION

CONFIDENTIALITY

For a period of years following the effective date, each party shall keep confidential and not disclose to any third party any Confidential Information (defined as trade secrets, customer and supplier lists, pricing information, technical data, and other non-public business information) received from the other party, except as required by law or with the prior written consent of the disclosing party. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own similar information, but in no event less than reasonable care.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Assignor represents and warrants that: (a) Assignor has good and marketable title to the assigned assets free and clear of liens except as disclosed in writing to Assignee; (b) to Assignor's knowledge there are no undisclosed material breaches or defaults under assigned contracts; and (c) there are no pending actions that would prevent the consummation of this Agreement. Assignee represents that it has the corporate authority to enter into this Agreement and to perform its obligations.

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of that party's breach of any representation, warranty or covenant in this Agreement or arising from that party's willful misconduct or gross negligence.

ASSUMPTION OF LIABILITIES

Assignee shall assume only the liabilities expressly agreed in writing. Assignee hereby agrees to assume the following liabilities:

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in the county where Assignor's principal place of business is located, unless the parties agree otherwise in writing.

ENTIRE AGREEMENT; AMENDMENTS

This Agreement, including the schedules and exhibits attached hereto, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. This Agreement may be amended or modified only by a written instrument signed by both parties.

NOTICES

All notices, requests, consents and other communications hereunder shall be in writing and delivered to the addresses set forth above (or to such other address as a party may designate by notice in accordance with this section) by certified mail, overnight courier, or personal delivery and shall be effective upon receipt.
