Upon termination, Recipient shall pay Assurer for all services performed and non-cancellable commitments reasonably incurred through the date of termination. Termination does not affect rights and obligations intended to survive termination.

CONFIDENTIALITY

"Confidential Information" means all non-public business, technical and financial information disclosed by a party (the Disclosing Party) to the other party (the Receiving Party), whether disclosed in writing, orally or by inspection, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Assurer specifically assures that all deliverables will be free of material defects, will materially conform to the specifications set forth in the Scope of Work, and will not infringe third-party intellectual property rights. Remedies for breach of these assurances include correction, replacement, or refund as reasonably determined by Recipient and Assurer.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings and communications, whether written or oral. What the Business Assurances Template Is

A Business Assurances Template is a standardized written statement used by companies to confirm commitments, representations, or compliance obligations to a contracting party. Typical uses include procurement bids, vendor onboarding, grant applications, and contract exhibits that state regulatory, quality, insurance, or financial assurances. The template organizes parties, assurances being made, scope and limitations, supporting exhibits, and the signatory authority block. In the United States these documents can be executed electronically under the ESIGN Act (15 U.S.C. ch. 96) and UETA where adopted, subject to any statutory exceptions.

Why a Clear Assurance Statement Matters

A well-drafted Business Assurances Template reduces ambiguity, clarifies liability, and provides a clear audit trail for compliance and procurement reviews. It helps contracting parties assess risk, speeds approvals, and supports enforceability when the four ESIGN validity elements are present.

Why a Clear Assurance Statement Matters

Typical Users and Participants

Multiple teams encounter this template during contracting: procurement, legal, compliance, and business unit owners.

  • Procurement and sourcing teams that need vendor assurances and insurance confirmations for contract awards.
  • Legal and contracts personnel who review representations, indemnities, and governing-law clauses before execution.
  • Compliance, risk, or audit teams that require documented commitments and retention-ready records for inspections.

Use clear role-based signatory rules and routing to ensure the right person signs with appropriate authority.

Who Signs and Why

Authorized Signatory

A company officer or delegated agent (e.g., CFO, VP of Contracts) who has authority to bind the organization. Verify corporate resolution or delegated authority to avoid later invalidation.

Compliance Officer

A compliance or risk manager who certifies regulatory assurances or internal controls. Their signature often accompanies operational attestations and supporting evidence exhibits.

Essential Parts of a Professional Business Assurances Template

A professional template groups the core items clearly so reviewers can confirm obligations quickly and consistently across transactions.

Parties

Identify full legal names and entity types for each party, including doing-business-as names and the signing individual’s title and authority.

Effective Scope

Define the scope of the assurance: what activities, products, services, time periods, and jurisdictions the assurance covers.

Specific Assurances

List measurable assurances (e.g., compliance with a named standard, insurance limits, certifications) with citation to standards where applicable.

Limitations and Exclusions

State any carve-outs, maximum liability caps, and temporal limits to prevent unintended enduring obligations.

Supporting Exhibits

Attach evidence such as certificates, policies, test reports, or insurance declarations and reference them in the main text.

Signature Block

Include name, title, date, printed name, and a space for notarization or witness lines if required by law or by the contracting party.

Key Processing Stages from Draft to Record

A numbered milestone sequence clarifies who acts when and which artifacts are produced at each stage.

01

Draft Preparation

Create template instance and attach relevant exhibits for review.

02

Internal Review

Legal and compliance confirm language and signatory authority.

03

Execution

Authorized signatory executes; notarization if required.

04

Filing and Retention

Store executed document in contract and compliance repositories.

Common Pitfalls to Avoid

  • Leaving the signatory’s authority unspecified, which can lead to later challenges over validity and contract enforcement.
  • Using vague assurance language like 'best efforts' without measurable standards or specific reference to a regulation or protocol.
  • Failing to attach or reference required evidence, causing procurement or audit rejections and work delays.
  • Incorrect dates or mismatched entity names between contract and exhibits, creating payment holds or triggering re-execution.

Consequences of an Incorrect or Missing Assurance

Contract Breach: Damages or termination
Regulatory Fines: Industry-specific penalties
Tax Consequences: Withholding or reporting issues
Invalid Signature: Contract unenforceable
Payment Delays: Invoices withheld
Reputational Harm: Loss of future business
