BUSINESS ATI TEMPLATE

PARTIES AND RECITALS

This Agreement is made effective as of (Effective Date) by and between Client Name: , and Service Provider: .

WHEREAS, Client desires to obtain certain advisory, technical or implementation services related to ATI (Agree, Transfer, Implement) business processes from Service Provider; and

WHEREAS, Service Provider has represented that it possesses the necessary expertise, personnel and resources to perform such services under the terms and conditions set forth herein; and

WHEREAS, the parties wish to set forth the scope, compensation, confidentiality and other terms governing the relationship between them.

SCOPE OF WORK

Service Provider shall perform the Services in accordance with the standards of care, skill and diligence consistent with generally accepted industry practices. All deliverables shall be provided in a timely manner, and any change to the scope shall be documented by a written change order executed by both parties.

PAYMENT TERMS

Invoices will be issued in accordance with the Payment Schedule. Client shall pay all undisputed amounts within days of receipt of an invoice. Any disputed portion must be notified in writing within the payment period, and the undisputed portion remains payable.

TERM AND TERMINATION

Term Commencement: This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach which remains uncured for thirty (30) days after receipt of written notice of such breach.

Upon termination, Client shall pay Service Provider for Services performed and approved deliverables completed through the effective date of termination, together with any non-cancellable third-party costs incurred. Sections relating to confidentiality, indemnity and payment of accrued amounts shall survive termination.

CONFIDENTIALITY

Each party (Receiving Party) shall maintain as confidential all non-public information disclosed by the other party (Disclosing Party) in connection with this Agreement. Confidential Information includes business plans, financial information, technical data, trade secrets, customer lists and any information marked or reasonably understood to be confidential. Confidential Information does not include information that is (a) already known to the Receiving Party without restriction, (b) becomes publicly available through no fault of the Receiving Party, (c) is lawfully received from a third party without breach of an obligation of confidentiality, or (d) independently developed by the Receiving Party.

The Receiving Party shall use Confidential Information solely to perform its obligations under this Agreement and shall restrict disclosure to those employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations no less restrictive than those set forth herein. The confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall be protected for as long as such information qualifies as a trade secret under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties agree that exclusive venue for disputes shall be the state or federal courts located in that jurisdiction, unless otherwise agreed in writing.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and any executed change orders, constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior negotiations, representations or agreements, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets provided that the assignee assumes all obligations hereunder.

Independent Contractors: The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment relationship or agency between the parties.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power and authority to enter into and perform this Agreement, that execution and performance do not violate any agreement or obligation with any third party, and that individuals executing this Agreement have been duly authorized to do so.

ACKNOWLEDGMENT

The parties acknowledge that they have read and understand this Agreement, that they are legally able to enter into this Agreement, and that they agree to be bound by its terms.
