Business ATM Agreement

This Business ATM Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, Operator is in the business of owning, operating and servicing automated teller machines (ATMs) and is willing to provide an ATM for placement on the Host premises under the terms set forth herein;

WHEREAS, Host owns or controls the premises located at and desires to permit placement of an ATM to provide surcharge and cash-dispensing services to customers;

WHEREAS, the parties agree to allocate responsibilities for installation, maintenance, cash replenishment, revenue share and related operational matters as set forth in this Agreement.

Scope of Work

Operator shall supply, install and commission an ATM at the Host premises and shall provide routine maintenance, software updates, and cash management services as specifically described below. Operator retains ownership of the ATM and all associated inventories unless otherwise agreed in writing.

ATM Placement, Installation and Ownership

Operator will install the ATM at the mutually agreed location on Host premises. The ATM shall remain the property of Operator. Installation shall be completed no later than . Operator shall be responsible for all costs of installation, removal and equipment upgrades unless otherwise stated.

ATM Model / Serial Number:

Host shall provide a suitable, safe and accessible location with electrical power and internet/telecommunications connectivity as required. Host grants Operator reasonable access for installation, servicing and cash replenishment during regular business hours and emergency access when necessary.

Payment Terms

Revenue Share: Host shall receive % of net surcharge revenue per transaction processed by the ATM (net of interchange and transaction processing fees).

Minimum Monthly Payment (if applicable): Operator shall pay Host a minimum monthly guarantee of $ if net revenue share due is less than this amount for any calendar month.

Payment Schedule: Payments shall be calculated monthly and disbursed to Host within days after the end of each calendar month. Operator shall provide a monthly statement detailing transaction counts, gross surcharge, deductions and net amounts due.

Late Payments: Any undisputed payment not made within days of the due date shall bear interest at % per month (or the maximum rate permitted by law, whichever is lower).

Term and Termination

Term: The initial term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Renewal: This Agreement shall automatically renew for successive month terms unless either party provides written notice of non-renewal at least days prior to the expiration of the then-current term.

Termination for Cause: Either party may terminate this Agreement upon written notice if the other party materially breaches any provision and fails to cure the breach within days after receiving written notice specifying the breach.

Maintenance, Repair and Cash Services

Operator shall provide routine maintenance, service and timely repair to keep the ATM in good working order. Operator shall also be responsible for cash replenishment unless the parties agree otherwise in writing. Operator shall respond to service calls and, where practicable, complete emergency repairs within hours.

Insurance and Risk Allocation

Operator shall maintain commercial general liability and property insurance covering the ATM and its operations with limits no less than $ per occurrence and shall name Host as an additional insured with respect to Operator operations under this Agreement. Host shall maintain premises liability insurance covering the premises.

Confidentiality

Each party shall treat as confidential all non-public information obtained from the other party in connection with this Agreement, including transaction reports, revenue data, ATM configurations and any proprietary processes. Confidential information shall not be disclosed to third parties except to employees, agents or contractors on a need-to-know basis, or as required by law. Confidential obligations shall survive termination for a period of three (3) years.

Indemnification

Each party ("Indemnitor") shall indemnify, defend and hold harmless the other party ("Indemnitee") from and against any claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of Indemnitor's negligent acts, willful misconduct or breach of this Agreement. This indemnity shall not apply to the extent that claims arise from the Indemnitee's gross negligence or willful misconduct.

Compliance with Laws

Each party shall comply with applicable federal, state and local laws, regulations and card network rules governing ATM operations, accessibility, privacy and financial transactions. Operator shall ensure that the ATM is configured and operated in accordance with applicable card network operating requirements.

Default Remedies

In the event of a material breach that is not timely cured, the non-breaching party may terminate this Agreement, recover damages, and pursue any other remedies available at law or in equity. Termination shall be without prejudice to any accrued rights or obligations of the parties.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Notices

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. Any amendment must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other except to a successor in interest in connection with a merger or sale of substantially all assets.
