What a Business Attention Call Is and When to Use It

A Business Attention Call is a formal written notice issued by a company to draw a recipient's attention to a specific business matter, such as a contract breach, overdue payment, compliance concern, or operational risk. It documents the factual issue, cites any controlling contract provision or code, and requests a defined response or cure within a stated timeframe. When transmitted electronically, the notice can include an audit trail and be executed under U.S. e-signature law (ESIGN, 15 U.S.C. ch. 96) or state UETA statutes, subject to the usual exceptions for testamentary or court-filings.

Why a Clear Business Attention Call Matters

A precise notice preserves rights, creates an evidentiary record, clarifies expectations, and can start contractual cure or dispute timelines; it reduces ambiguity and supports compliance with contractual or regulatory notice requirements.

Why a Clear Business Attention Call Matters

Typical Senders and Recipients

Businesses, contract managers, and compliance teams commonly prepare Business Attention Calls to document issues and request action.

  • Corporate legal and contracts teams responsible for enforcing agreement terms and documenting breach notices.
  • Accounts receivable and finance groups addressing overdue payments, billing disputes, or withholding of funds.
  • Operations, facilities, or vendor management teams notifying suppliers about deficiencies, safety issues, or performance shortfalls.

Recipients often include counterparties, vendors, landlords, or internal stakeholders; choose the authorized signatory and delivery method that match any contract notice clause.

Core Elements to Include in a Professional Notice

A Business Attention Call should be concise, factual, and structured so a recipient can quickly identify the issue, the contractual basis, and the required next steps or timeline.

Header and Date

Clear title, company name, and date of issuance. The date anchors any contractual cure or response period and supports timeline disputes.

Sender and Recipient

Full legal names, titles, and contact information for sender and recipient. Identify the person or department authorized to receive notices under the contract.

Contract Reference

Cite the agreement name, section or clause number, and any relevant invoice or purchase order ID to avoid ambiguity about the legal basis.

Statement of Facts

Concise factual description of the issue with dates, amounts, or observable failures. Attach supporting documents where applicable.

Requested Remedy

Specify the corrective action required, a reasonable deadline, and consequences for noncompliance (e.g., interest, suspension, or termination per contract).

Signature Block

Name, title, and signature of authorized representative plus a date and contact details for follow-up; note whether electronic signing is permitted.

Step-by-Step: Creating and Sending the Notice

Follow these four essential steps to prepare, verify, deliver, and record a Business Attention Call so it holds up in subsequent discussions or disputes.

  • 01
Draft Notice: Assemble facts, cite the contract, and specify requested remedy.
  • 02
Internal Review: Have legal or contract owner confirm language and authority to serve notice.
  • 03
Transmit Securely: Send via required contract method—email, certified mail, or secure eSignature channel.
  • 04
Record Delivery: Save proof of delivery and signed copies in a controlled repository.

Typical Notice Flow from Draft to Record

A straightforward workflow helps ensure the notice reaches the correct recipient and that key dates and acknowledgements are traceable.

  • Draft and Attach: Prepare notice and attach supporting documents.
  • Set Signing Fields: Place signature, name, and date fields for authorized signers.
  • Authenticate Recipient: Use contract-specified delivery or an authentication method.
  • Archive Audit Trail: Capture timestamps, IP address, and signed PDF for records.

Technical Requirements for Electronic Delivery and Signing

Choose a delivery channel that produces a verifiable record and supports the formats and authentication the contract requires.

  • Formats: PDF, DOCX, or read-only PDF/A are preferred for preserving content integrity.
  • Integrations: Common integrations include Salesforce, Microsoft 365, Google Workspace, and NetSuite for routing and recordkeeping.
  • Authentication: Email link, SMS code, or stronger methods (KBA or SSO) depending on contract sensitivity.

Ensure any platform used produces an immutable audit trail and complies with applicable regulations; confirm business associate agreements where protected health information is involved.

Typical Configuration Settings for an Electronic Notice Workflow

Below are common settings to configure in an electronic signing platform so notices are delivered, authenticated, and tracked consistently.

Field Configuration
Signing Order Sequential or parallel signer flow per contract requirements.
Authentication Email link, SMS code, or knowledge-based authentication.
Expiration Set link expiry and auto-revocation after defined period.
Audit Trail Enable full event logging and PDF certificate of completion.

Key Timing Considerations and Recommended Deadlines

Set clear timeframes in the notice and follow internal deadlines for acknowledgement, escalation, and evidence preservation.

Acknowledgement Window:

Request a receipt confirmation; 48–72 hours recommended for acknowledgment.

Response Deadline:

Specify the cure or response date (use MM/DD/YYYY) consistent with contract timelines.

Escalation Step:

Note the next step if unmet, such as dispute notice or suspension of services.

Preserve Evidence:

Instruct parties to preserve documents and communications immediately.

Internal Review:

Set an internal deadline to reassess remedies after the response period ends.

Common Mistakes to Avoid When Preparing a Notice

  • Vague descriptions that omit dates, amounts, or referenced contract clauses, making enforcement unclear or contestable.
  • Sending to the wrong contact or a non-authorized recipient when the contract names specific notice addresses.
  • Failing to attach or reference supporting evidence such as invoices, photos, or prior correspondence.
  • Not preserving metadata and delivery receipts, which undermines the notice's probative value in disputes.

Potential Consequences of an Incorrect or Untimely Notice

Loss of Remedies: Missed contractual cure periods
Contractual Default: Acceleration or termination risk
Monetary Exposure: Late fees or damages
Regulatory Risk: Fines where regulated obligations apply
Evidentiary Weakness: Challengeable proof of service
Reputational Harm: Strained vendor or customer relations
