What a Business Attest Letter Is

A Business Attest Letter is a signed written declaration from an authorized representative that confirms specific facts about a company, such as ownership, tax identification, financial condition, or compliance with program requirements. Organizations commonly request these letters to verify eligibility for contracts, grants, vendor relationships, or regulatory submissions. The letter states the attested facts, identifies the attesting party, and includes a signature block and date. It may require notarization or witness signatures depending on the recipient or jurisdiction. Use clear language, factual statements, and supporting documents when available to reduce follow-up requests.

Why organizations request a Business Attest Letter

A Business Attest Letter provides a concise, auditable record that third parties use to confirm corporate facts. It reduces repeated requests for documentation, clarifies responsibility, and supports compliance or procurement processes while creating clear attribution and a dated signature for legal and administrative use.

Why organizations request a Business Attest Letter

Who typically completes or requests this attestation

Typical users who complete or request a Business Attest Letter include in-house counsel, finance teams, procurement officers, and business owners.

  • Small business owners needing to verify ownership, EIN, or eligibility for grants and vendor programs.
  • Corporate procurement and vendor management teams requesting proof of contracting authority and tax identification.
  • Lenders, insurers, and government agencies requiring documented confirmation of business status or compliance.

Use company letterhead, include supporting attachments, and confirm the signer has authority to bind the business.

Core elements to include in a professional Business Attest Letter

A professional Business Attest Letter presents clear factual statements, identifies parties, references supporting documents, sets an effective date, and provides a dated signature and contact information.

Statement of Facts

List precise, objective facts being attested (for example, company legal name, EIN, ownership percentage, contract dates). Avoid opinions; tie each fact to a specific supporting document or record when possible.

Authorized Signer

Name and official title of the person signing, a statement that they are authorized to make the attestation, and a brief description of their authority or where authority is documented in corporate records.

Effective Date

Clear MM/DD/YYYY effective date or period covered by the attestation. State whether the facts are true as of that date or continually true through a specified period.

Supporting Documents

Attach or reference exhibits such as certificates of formation, EIN paperwork, tax returns, board resolutions, or contracts that corroborate the attested statements. Include page references and document dates to help reviewers match assertions to evidence.

Signature Block

Typed name, title, signature, date, and contact details. If a notary is required, include space for acknowledgement and official stamp per recipient requirements and jurisdictional instructions.

Scope and Limitations

A concise description limiting the attestation to specified facts, noting that the letter does not substitute for audited financial statements or legal opinions unless explicitly stated.

Common mistakes to avoid when preparing an attestation

  • Using ambiguous phrases or sweeping statements invites follow-up and may be rejected by reviewers seeking precise facts and dates.
  • Allowing a person without actual authority to sign exposes the company to disputes and can invalidate the letter for official purposes.
  • Failing to attach referenced documents forces additional requests and slows verification, especially for EIN, formation, or board resolution evidence.
  • Conflicting dates between the letter and supporting records lead recipients to doubt accuracy and may trigger rejection.
