BUSINESS ATTESTATION FORM

WHEREAS

WHEREAS, Attesting Business is engaged in business activities and represents that it is duly organized, validly existing, and in good standing under the laws of the jurisdiction of its formation and possesses all licenses, permits, and authorizations required to perform the services described herein; and

WHEREAS, Recipient/Client requires confirmation and formal attestation of certain factual matters, compliance with applicable laws and contractual obligations, and agrees to rely on such attestations in connection with business dealings between the parties; and

WHEREAS, the parties desire to set forth the terms governing the attestation, scope of work, payment, confidentiality and related obligations.

SCOPE OF WORK

PAYMENT TERMS

All invoiced amounts are payable in lawful money of the United States unless otherwise agreed in writing. If payment is not received when due, interest at the rate set forth above shall accrue from the due date until paid. Recipient/Client shall be responsible for any reasonable costs of collection, including attorneys' fees, if applicable.

Either party may terminate this Agreement for convenience upon written notice to the other party given the notice period specified above. Either party may terminate immediately for material breach by the other party that remains uncured for thirty (30) days following written notice specifying the breach, or immediately for breaches involving fraud or willful misconduct.

CONFIDENTIALITY

Each party shall protect Confidential Information of the other party with at least the same degree of care it uses to protect its own Confidential Information, but in no event less than reasonable care. "Confidential Information" means non-public information disclosed in connection with this Agreement. Confidential Information does not include information that: (a) is or becomes publicly available without breach; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the other party's Confidential Information; or (d) is required to be disclosed by law or by court order (subject to reasonable notice to the other party).

ATTESTATIONS AND REPRESENTATIONS

I attest that the business maintains insurance coverage appropriate to the services and will provide evidence of coverage upon request.

I attest that the business is current in the payment of taxes and has not intentionally failed to file required tax returns.

I attest that neither the business nor any of its principals is debarred, suspended or otherwise ineligible for award of government contracts or grants.

The foregoing attestations are true and correct to the best of the signatory's knowledge, information and belief, and the signatory acknowledges that Recipient/Client will rely on these attestations in entering into any transactions or arrangements with Attesting Business.

ADDITIONAL BUSINESS INFORMATION

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. Venue for any dispute arising out of or relating to this Agreement shall be exclusively in the state and federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, including any attachments and written statements incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and executed by authorized representatives of both parties.

MISCELLANEOUS

Each party represents that the person executing this Agreement on its behalf is duly authorized to bind such party. The parties agree to cooperate and execute such further documents as may be reasonably necessary to carry out the intent of this Agreement. If any provision is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
