BUSINESS AUTO AGREEMENT

This Business Auto Agreement (the "Agreement") is entered into as of by and between the parties identified below.

Parties

Recitals

WHEREAS, Company owns, leases, or administers certain motor vehicle(s) and desires to permit the Operator to use one or more designated vehicle(s) for business purposes under the terms and conditions set forth in this Agreement; and

WHEREAS, Operator represents that Operator possesses a valid driver's license, meets employer qualification standards, and agrees to operate the vehicle(s) in compliance with all applicable laws, Company policies, and the terms of this Agreement; and

WHEREAS, the parties desire to define the scope of permitted use, payment, maintenance and insurance responsibilities, and the terms for termination.

Vehicle Description

Scope of Work and Authorized Use

The Operator is authorized to use the vehicle described above solely for business purposes reasonably related to the Company’s operations. Personal use is permitted only if expressly authorized in writing by Company.

Payment Terms

Compensation to Operator for use of the vehicle will be as specified below. Payment is contingent upon timely submission of required logs, receipts, and any other documentation required by Company.

Insurance, Maintenance, and Reporting

Company shall maintain primary liability insurance covering the vehicle as required by law. Operator shall immediately report accidents, mechanical failures, citations, or other incidents to Company and shall cooperate with all investigations.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Company may terminate immediately for cause including, but not limited to, material breach, conviction of a driving-related offense, falsification of records, or failure to maintain required qualifications.

Confidentiality

Operator shall not disclose proprietary business information, customer lists, pricing, or other confidential information obtained through use of the vehicle or while performing duties for Company. This obligation survives termination for a period of two (2) years.

Indemnification and Liability

Operator shall indemnify, defend and hold harmless Company from and against claims, losses, damages, liabilities, and expenses arising from Operator's negligent or willful acts, including misuse of the vehicle, except to the extent caused by Company's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict of law principles.

Entire Agreement

This Agreement, together with any attachments, schedules, and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations, and understandings.

Miscellaneous Provisions

Notices required under this Agreement shall be in writing and delivered to the addresses set forth above. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
