What the Business Backer Agreement Is and When It Applies

A Business Backer Agreement documents the terms under which an investor, backer, or lender provides funds, resources, or guarantees to a business in exchange for repayment, equity, revenue share, or other consideration. The agreement clarifies parties, funding schedule, repayment or return mechanics, security interests, covenants, default remedies, and termination conditions. It is a binding contract when correctly executed by authorized signatories and can be executed electronically under the ESIGN Act (15 U.S.C. §7001) and applicable state UETA statutes, subject to exceptions for certain document types.

Why a Clear Backer Agreement Matters for Risk and Performance

A well-drafted Business Backer Agreement allocates financial risk, documents repayment or equity terms, preserves enforceability, and reduces disputes by setting clear milestones, reporting obligations, and remedies. It supports transparency for bookkeeping, tax reporting, and potential security filings, and it remains enforceable when e-signed in compliance with ESIGN and state UETA rules.

Why a Clear Backer Agreement Matters for Risk and Performance

Who Typically Prepares and Signs a Backer Agreement

Typical participants and internal groups involved in preparing and approving a Business Backer Agreement include founders, backers, legal counsel, and finance teams.

  • Startups and small businesses seeking non-bank capital or bridge funding, often with founder-level approval and board notification.
  • Individual backers, angel investors, and private lenders who require written terms and security descriptions prior to funding.
  • Corporate development, legal, or finance teams that manage signatures, compliance checks, and reporting obligations.

Identifying the right internal approvers and external advisors early streamlines negotiation, signing, and downstream filing or collateral perfection steps.

Core Sections to Include in a Professional Backer Agreement

A complete agreement balances economic terms, legal protections, and operational details to reduce ambiguity and enforce obligations.

Who Signs and What Authority They Must Have

Backer / Investor

The backer or authorized representative must sign in their legal name and indicate capacity (individual, trustee, or corporate officer). For entity backers, include board or authorization certificate demonstrating signing authority; mismatched capacity can invalidate the agreement or hinder enforcement.

Company Signatory

The company signatory should be an officer or authorized agent with documented authority. Corporate resolutions or secretary certificates are often attached to confirm authority and avoid later challenges to validity.
