BUSINESS BACKUP AGREEMENT

Parties and Contact Information

This Business Backup Agreement ("Agreement") is entered into by and between Provider: and Client: as of the Effective Date set forth below.

WHEREAS

WHEREAS, Provider operates a commercial backup and data preservation service and possesses the technical expertise and infrastructure to create, store, and restore electronic backups and related services; and

WHEREAS, Client desires to engage Provider to perform backup services for Client's designated business systems and data, and Provider desires to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement define the scope, responsibilities, payment, confidentiality, and risk allocation between them.

Scope of Work

Provider shall provide backup, storage, retention, and restoration services as set forth below and in any appendices incorporated herein. The services shall include secure creation of periodic backups, verification of backup integrity, and restoration support subject to the limitations in this Agreement.

Payment Terms

Client shall pay Provider the fees described below for services rendered under this Agreement.

Late payments shall incur a late fee equal to of the outstanding balance per month, or the maximum allowed by law, whichever is less.

Provider may suspend backup or restoration services for Client who is more than days past due, after providing written notice in accordance with the notice provisions below.

Term and Termination

This Agreement commences on the Effective Date and continues for the Term specified below, unless earlier terminated as provided herein.

Either party may terminate this Agreement without cause upon days' prior written notice. Provider may terminate immediately for cause if Client materially breaches payment or data handling obligations and fails to cure within days after written notice.

Upon termination, Provider will, at Client's expense, return or delete backups as directed by Client, subject to any legal hold or outstanding fees. Provider's sole obligation with respect to stored backups is to deliver copies in Provider's possession; Provider is not liable for data not transmitted to or accepted by Provider prior to termination.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party in connection with this Agreement and shall use such information only to perform its obligations hereunder. Provider shall restrict access to Client data to personnel who have a need to know and shall employ commercially reasonable administrative, physical, and technical safeguards to protect Client data.

Notwithstanding the foregoing, Provider may disclose Confidential Information as required by law, provided Provider uses reasonable efforts to notify Client and to limit the scope of such disclosure.

Data Security, Ownership and Access

Client retains ownership of its data at all times. Provider shall not access or use Client data except as necessary to perform services or as otherwise authorized. Provider shall implement encryption and authentication measures described in the Scope of Work. Provider does not warrant that backup processes will prevent all data loss; Client is responsible for maintaining its own business continuity plan.

Limitation of Liability and Indemnity

Except for breaches of confidentiality or willful misconduct, Provider's liability for any claim arising out of this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Provider in the twelve (12) months preceding the claim. In no event shall Provider be liable for consequential, incidental, punitive, or special damages, including loss of profits or business interruption.

Client shall indemnify and hold Provider harmless from claims arising from Client's content, use of backups, or Client's failure to comply with applicable laws, except to the extent caused by Provider's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement

This Agreement, together with any attachments and accepted orders or statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, proposals, and communications, whether written or oral.

No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.
