Parties

Recitals

WHEREAS, Company desires to retain Service Provider to perform batch processing, aggregation, and related business services described herein for identifiable sets of transactions and data batches (each, a "Batch"); and

WHEREAS, Service Provider represents that it has the personnel, systems and processes necessary to perform the Batch services in accordance with the terms, performance standards, schedules and pricing set forth in this Business Batch Document (the "Agreement"); and

WHEREAS, the parties wish to document the scope, timing and compensation for Batch services and to set forth their respective rights and obligations.

Scope of Work

Service Provider shall perform the following services for each Batch delivered under this Agreement. The parties acknowledge that the specific deliverables, acceptance criteria and processing procedures will be as described below.

Payment Terms

Company shall pay Service Provider for Batch services in accordance with the schedule and amounts stated below. Unless otherwise specified, amounts are expressed in US dollars and exclusive of taxes for which the paying party is responsible.

Late payments shall incur a late fee of % per month on any unpaid balance, or the maximum permitted by law, whichever is less.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' written notice to the other party. Either party may terminate for material breach if such breach is not cured within 30 days following written notice; termination for cause shall not relieve the breaching party of liability for damages.

Confidentiality

"Confidential Information" means non-public business, technical or financial information disclosed by either party in connection with this Agreement, including Batch data, specifications, pricing and proprietary processes. Each party agrees to use Confidential Information solely for performance of this Agreement and to protect it with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality obligations shall survive termination for a period of years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

Representations, Warranties and Indemnification

Each party represents that it has the full power and authority to enter into this Agreement. Service Provider warrants that it will perform services in a professional manner consistent with industry standards. Service Provider shall indemnify and hold harmless Company from and against third-party claims arising from Service Provider's negligent performance or willful misconduct in the provision of Batch services.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties agree to attempt good-faith resolution of disputes prior to initiating litigation.

Entire Agreement and Amendment

This Agreement, together with any Schedules and written Batch statements executed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations and understandings. No amendment or waiver shall be effective unless in a written instrument signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to a successor in interest in connection with a merger or sale of substantially all of its assets.

Execution

This Agreement may be executed in counterparts and by electronic signature, each of which shall be deemed an original and all of which together shall constitute one instrument.
