This Business Batch Agreement (the Agreement) is made as of between:

Recitals

WHEREAS, Client is engaged in business operations requiring bulk processing, fulfillment, or grouped deliverables (the Batch); and

WHEREAS, Service Provider has the capacity and expertise to perform the services described herein and agrees to accept delivery and/or process the Batch in accordance with the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

Scope of Work

Service Provider shall perform the services and deliverables set forth below for each batch submitted by Client. The services shall be performed in a commercially reasonable manner consistent with industry standards.

Payment Terms

Client shall pay Service Provider for services performed under this Agreement in accordance with the amounts and schedule below. All payments shall be made in United States dollars unless otherwise agreed in writing.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered not less than days prior to the effective termination date. Either party may terminate for cause if the other party materially breaches any obligation and fails to cure such breach within thirty (30) days after receipt of written notice.

Confidentiality

Each party (Receiving Party) will maintain in confidence all non-public, proprietary, or confidential information disclosed by the other party (Disclosing Party) in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information which: (i) is or becomes publicly available through no breach of this Agreement; (ii) was rightfully in the Receiving Party's possession prior to receipt from the Disclosing Party; (iii) is rightfully received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party shall use Confidential Information solely for the performance of its obligations under this Agreement and shall not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein. Upon termination or upon written request, the Receiving Party shall return or destroy all Confidential Information and certify such destruction in writing if requested.

Representations and Warranties

Each party represents and warrants that it has the full corporate power and authority to enter into this Agreement, that this Agreement constitutes a legal, valid and binding obligation, and that the performance of its obligations will not violate any applicable law or agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflicts of law. Venue for any dispute arising out of or relating to this Agreement shall be exclusively in the state or federal courts located within that state.

Entire Agreement

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by duly authorized representatives of both parties.

Miscellaneous

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or financing so long as the assignee assumes the assigning party’s obligations. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
