What the Business BELA Document Is

The Business BELA Document is a standardized corporate authorization form used to record and confirm an entity-level business authorization, roles, and delegation of authority. It identifies the business parties, the scope of authority being granted or acknowledged, effective dates, and any limiting conditions. The form is intended to create a clear, reproducible record for internal governance, third-party transactions, banking relationships, or regulatory review. When completed correctly, it documents intent, attribution, and retention consistent with electronic signature standards under ESIGN and state UETA/ESRA frameworks.

Why a Clear BELA Document Matters

A well-prepared Business BELA Document reduces ambiguity about who may act for the business, supports auditability, and helps meet corporate governance and compliance requirements under ESIGN (15 U.S.C. ch. 96) and applicable state law.

Why a Clear BELA Document Matters

Who Typically Creates and Uses a BELA Document

The Business BELA Document is most often prepared by corporate counsel, compliance officers, or authorized executives for internal control and external verification.

  • Corporate legal teams preparing delegation and signature authority records for banks and vendors.
  • Finance or treasury staff documenting who may open accounts, sign checks, or execute financing agreements.
  • Third-party vendors or banks requesting documented authorization for account access or transaction approval.

Use this document to reduce processing delays and to provide a verifiable audit trail for internal and external stakeholders.

Primary Signers and Preparers

Authorized Officer

Typically a CEO, CFO, or other officer whose corporate charter or bylaws vest signing authority. This person signs to confirm corporate action and may be required to provide proof of office (board resolution or corporate minutes).

Corporate Counsel

In-house or outside counsel often prepares or reviews BELA language and attachments to ensure authority is consistent with governing documents, statutory requirements, and any lender or counterparty conditions.

Core Elements to Include in a Business BELA Document

A complete BELA Document combines identification, authority scope, effective timing, signature blocks, supporting evidence, and retention instructions to make the authorization legally meaningful and operationally useful.

Entity Details

Legal name, formation type (LLC, corporation), state of formation, and taxpayer identification where required to match external records.

Scope of Authority

Precise description of acts authorized (signing contracts, opening accounts, making payments) with any monetary thresholds or exclusions noted.

Effective and Expiry Dates

Start date in MM/DD/YYYY format and expiration or review date, including any conditions that terminate or suspend authority.

Supporting Evidence

Referenced attachments such as board resolutions, bylaws excerpts, or annual meeting minutes that validate the authorized signatory.

Signature Blocks

Printed name, title, signature, date, and, where required, witness or notary acknowledgment fields consistent with state rules.

Retention Instructions

Recordkeeping notes stating where the executed document will be stored, who may access it, and how long it will be retained.

Required Information and Key Data Fields

Entity Name: Exact legal name
Formation State: State of incorporation/organization
Authorized Person: Full legal name and title
Scope: Authorized actions
Effective Date: MM/DD/YYYY
Supporting Doc: Board resolution reference

Step-by-Step: Completing the Business BELA Document

Follow these steps in sequence to prepare, sign, and distribute a valid Business BELA Document.

  • 01
Gather Records: Collect formation documents and board resolutions supporting authority.
  • 02
Draft Scope: Define exact powers, limits, and monetary thresholds.
  • 03
Add Signers: Place signature blocks with names, titles, and dates.
  • 04
Authenticate: Obtain required witness/notary or eSignature authentication per jurisdiction.

Configuring an Online BELA Workflow

When setting up a digital workflow, assign fields, authentication, and routing to mirror your internal approval sequence.

Field Configuration
Signature Field Assign to named signer; require date
Supporting Upload Require attachment of board resolution
Authentication Use email + SMS or stronger KBA for high-risk transactions
Routing Sequential approval order with automatic reminders

Where to Send and How to Route the Completed Document

A clear distribution plan ensures recipients receive the signed BELA Document and any required attachments or confirmations.

  • Internal Records: Store executed copy in corporate records or secure document management system
  • Bank or Vendor: Provide certified copy to financial institutions or third parties requiring proof
  • Legal Counsel: Send PDF with audit trail for counsel retention and review
  • Regulatory Filings: Attach when required for filings or licensing applications

Digital Signing and eSubmission Considerations

Use an eSignature workflow that preserves intent, attribution, and a tamper-evident audit trail compliant with ESIGN and applicable state law.

  • Formats: PDF, DOCX accepted
  • Integrations: Connect to Salesforce, NetSuite, Google Workspace
  • Security: TLS 1.2/1.3 in transit; AES-256 at rest

Ensure your platform can produce a certificate of completion and support required authentication (email, SMS, KBA, or higher) and retention policies.

2–10 business days for account setup or authority confirmation

Notary / RON Sessions:

Same-day to 2 business days scheduling range

Regulatory Filing:

Regulatory Scrutiny: Noncompliance may trigger agency inquiries
Operational Delay: Banks and vendors may refuse transactions pending verification
Tax/Reporting Issues: Incorrect records can complicate audits
Reputational Risk: Disputes over authority harm stakeholder trust

Real-World Examples of BELA Use

These case examples show practical applications where an entity-level authorization expedited routine business.

Optica Ventures (Brian Fitzgibbons)

The team standardized BELA forms for investor and banking needs to reduce back-and-forth approvals.

  • The new form included board resolution attachments.
  • As a result, counterparties accepted authority faster and internal processing time decreased, enabling timely fund disbursements and clearer audit trails.

Martin Properties (Tim Martin)

Property management adopted a BELA template to delegate lease-signing authority to regional managers.

  • Managers used authenticated electronic signing.
  • This reduced site visit needs, improved turnaround for tenant move-ins, and preserved consistent documentation across properties.
