What the Business Best Effort Template Is

The Business Best Effort Template is a contract exhibit or clause that defines a party's obligation to use commercially reasonable efforts to achieve specified objectives without guaranteeing a fixed outcome. It frames scope, timelines, measurable steps, and reasonable limitations so parties understand expectations, risk allocation, and remedies if performance falls short. Organizations use it to document obligations where full performance is impractical to guarantee, preserving flexibility while creating enforceable duties. The template is adaptable for procurement, partnerships, vendor statements of work, and commercial negotiations.

Step-by-step: Completing the Template

Follow these core steps to prepare, review, and finalize a Business Best Effort Template so obligations are clear and enforceable.

  • 01
Prepare: Identify parties, objectives, and measurable milestones before drafting obligations.
  • 02
Define Standard: Specify what 'best efforts' means in concrete, objective terms.
  • 03
Allocate Risks: State remedies, limitations, and notice requirements for nonperformance.
  • 04
Execute: Collect authorized signatures, dates, and any required acknowledgements.

Who typically prepares and signs this template

Ensure the final signers have authority to bind their organization and that any required internal approvals or third-party consents are documented before execution.

  • General counsel and outside corporate counsel who draft or validate enforceability language and risk allocation.
  • Procurement and vendor managers who set measurable milestones and acceptance criteria for suppliers.
  • Business unit leaders and contract managers who confirm operational capabilities and internal approvals.

Core elements to include in a professional clause

A precise Business Best Effort Template contains defined obligations, objective metrics, exclusions, reporting, remedies, and signature authority to reduce ambiguity and enforceability issues.

Defined Standard

Explicitly state whether the obligation is 'best efforts', 'commercially reasonable efforts', or another standard and define how that standard will be measured in objective terms.

Deliverables

List expected outputs, acceptance criteria, and quality measures so performance can be evaluated consistently by both parties.

Timeline

Include milestone dates, notice periods for delays, and whether dates are target or mandatory to avoid misunderstandings.

Exclusions

Identify force majeure, third-party dependencies, and other carve-outs that relieve performance obligations under specified conditions.

Remedies

Specify contractual remedies, limitation of liability, and whether specific performance, liquidated damages, or termination rights apply.

Reporting

Require progress reports, escalation paths, and acceptance testing to create an auditable record of efforts and outcomes.

Security, privacy, and compliance considerations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Detailed timestamps, IP, and action history
BAA Availability: Business associate agreement required for HIPAA
Authentication: Multi-factor and advanced signer verification available
Standards: SOC 2 Type II and ISO 27001 certified
Accessibility: WCAG 2.0 Level AA compliance

Common legal and commercial risks to watch

Liability Exposure: Unclear obligations can expand damages exposure
Termination Risk: Lack of remedies may force premature contract exit
Tax Consequences: Payment ambiguity can trigger reporting issues
Reputational Harm: Repeated nonperformance may damage business relations
Enforceability: Vague 'best efforts' phrasing can be interpreted narrowly by courts
Missed Deadlines: May trigger liquidated damages or cure periods

Frequent drafting and preparation mistakes

  • Using undefined subjective language like 'reasonable efforts' without objective metrics, which invites disagreement over compliance.
  • Failing to link effort descriptions to measurable deliverables and dates, making it hard to determine whether obligations were met.
  • Omitting third-party dependency clauses and remedies when outcomes depend on suppliers or regulators, leaving primary party exposed.
  • Not documenting internal approvals or signer authority, which can invalidate execution or delay enforcement actions.
