CONFIDENTIALITY

Definition: "Confidential Information" means any non-public information disclosed by one party to the other that is marked confidential or which, by its nature or the circumstances of disclosure, should reasonably be understood to be confidential, including business plans, customer and pricing information, technical data, trade secrets, and proprietary software or processes.

Obligations: The recipient of Confidential Information shall (a) protect and safeguard the confidentiality of such information with at least the degree of care used to protect its own confidential information, but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein.

Exclusions: Confidential Information does not include information that is (i) in the public domain without breach of this Agreement; (ii) rightfully known to the recipient prior to disclosure; (iii) independently developed by the recipient without use of Confidential Information; or (iv) rightfully obtained from a third party without restriction.

Survival: The confidentiality obligations shall survive termination of this Agreement for a period of five (5) years, or longer if required by applicable law for particular categories of information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Each party irrevocably submits to the exclusive jurisdiction of the state and federal courts located in that State for any action arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of each party.

MISCELLANEOUS

Assignment: Neither party may assign or transfer any rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign this Agreement in connection with a merger, sale of substantially all assets, or corporate reorganization, provided that the assignee assumes all obligations under this Agreement.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice.
