What a Business Board Suggestion Is and When to Use It

A Business Board Suggestion is a formal written proposal presented to a corporate board of directors recommending a specific action, policy change, transaction, or governance decision. It typically includes an executive summary, background and rationale, financial impact, proposed resolution language, and supporting exhibits. The document is used to request board consideration, record a vote or directive, and create an auditable record for corporate minutes and compliance. Electronic transmission and signatures are generally acceptable where ESIGN and state law permit, subject to any statutory exceptions.

Why a Clear Business Board Suggestion Matters

A concise, properly documented suggestion improves board review, enables accurate minutes, and reduces follow-up. Using a standardized format clarifies the requested action, shows compliance with corporate procedures, and preserves an auditable record that supports fiduciary decisions under applicable state corporate law.

Who Typically Prepares and Reviews Board Suggestions

Final circulation usually goes to all directors, appropriate officers, and the corporate secretary to enable timely review and voting.

  • Chief Executive Officers and executive leadership preparing strategic or financial proposals for board consideration.
  • Corporate secretaries and general counsel drafting procedural language and ensuring compliance with bylaws.
  • Finance and operations leaders submitting budget, acquisition, or contract recommendations requiring board approval.
