What the Business Body Document is and why it matters

A Business Body Document is a governance and recordkeeping instrument that captures an entity's organizational structure, authorities, and material decisions. It commonly refers to bylaws, operating agreements, corporate resolutions, delegation of authority forms, or other documents that identify who can act for the business, on what terms, and when those actions take effect. These records support state filings, bank and vendor onboarding, regulatory compliance, and internal controls. Clear, accurate Business Body Documents reduce disputes, demonstrate authority to third parties, and provide an auditable trail for legal and financial review.

Why a well-prepared Business Body Document protects the company

A precise Business Body Document clarifies decision-making, evidences legal authority, and reduces operational friction with banks, counter‑parties, and regulators. It helps prevent challenges to signatory authority and supports accurate filings and tax reporting.

Why a well-prepared Business Body Document protects the company

Who typically prepares and relies on this document

Organizations and their advisors prepare Business Body Documents to formalize governance and authority before transactions or filings.

  • Corporations and their corporate secretaries — use for bylaws, board resolutions, and officer authorizations.
  • LLCs and managers/members — use operating agreements and member resolutions to show authority.
  • Outside counsel and registered agents — prepare, review, and provide certified copies for filings.

Maintain copies with corporate records and share certified extracts with banks, counterparties, and regulators as needed.

Primary signers and document owners

Authorized Officer

The chief executive or an appointed officer who has delegated authority to sign contracts and filings; their signature must match the name and title used in corporate records and state filings to avoid rejection.

Registered Agent

The registered agent or legal counsel who often files or certifies documents with the state and maintains original corporate records; they typically provide certified copies to banks and auditors.

Core components to include in a Business Body Document

Common mistakes to avoid when preparing this document

  • Using an informal or incomplete entity name that does not match state records, which can delay filings and void bank acceptance.
  • Failing to include a clear effective date or expiration, creating uncertainty about when authority begins or ends.
  • Omitting the resolution or minutes that authorized the delegation of powers, weakening the document's evidentiary value.
  • Neglecting to certify copies with an authorized officer or secretary, resulting in banks or vendors refusing the document.

Penalties and legal risks of incorrect documentation

Filing Rejection: State will reject incorrect filings
Contract Invalidity: Third parties may deny authority
Tax Exposure: Misstated authority can affect tax reporting
Bank Account Risk: Banks may freeze or close accounts
Regulatory Scrutiny: Regulators may request additional proof
