WHEREAS, Client engages Provider to perform the services described below in reliance upon Provider's representations, expertise and ability to perform; and

Provider shall perform the services described below in a professional manner consistent with industry standards. Late Payment: Provider shall charge interest on all overdue amounts at the lesser of 1.5% per month or the maximum rate permitted by law. Client is responsible for any collection costs, including reasonable attorneys' fees, incurred by Provider to collect overdue amounts.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve Client of its obligation to pay for services performed or non-cancellable commitments made by Provider prior to termination.

Cancellation by Client less than days before the scheduled service will result in forfeiture of the deposit and may incur additional cancellation fees to cover non-recoverable costs. Provider shall make reasonable efforts to mitigate any third-party cancellation charges.

Confidentiality

Each party agrees that information disclosed in connection with this Agreement that is designated as confidential or that a reasonable person would understand to be confidential shall be held in confidence and not disclosed to third parties except as required by law. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party or was rightfully known to the receiving party prior to disclosure.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Provider represents that services will be performed in a professional manner consistent with applicable industry standards.

Limitation of Liability

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental or punitive damages. Provider's total liability for claims arising out of or related to this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, together with any written attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, agreements and understandings, whether written or oral. Any modification or amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Execution of this Business Booking Letter may be accomplished by manual signature, electronic signature, or by exchange of counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
