BUSINESS BOS DOCUMENT

This Business Services Agreement (the "Agreement") is made and entered into as of by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client desires to obtain certain business operations, oversight, and support services relating to Client's operations, including but not limited to business process review, operational strategy, and implementation oversight; and

WHEREAS, Service Provider represents that it has the qualifications, experience, and capability to provide the services described in this Agreement and is willing to provide such services on the terms and conditions set forth herein; and

WHEREAS, the parties wish to set forth the terms and conditions under which Service Provider will provide services to Client.

SCOPE OF WORK

Service Provider shall perform the services described above in a professional and workmanlike manner consistent with industry standards. Any change to the scope that materially alters cost or schedule shall require a written change order executed by authorized representatives of both parties.

PAYMENT TERMS

Invoices shall be due and payable within days of invoice date. Late payments shall incur a late fee of , calculated from the due date until paid in full.

All amounts payable under this Agreement are exclusive of taxes. Client shall be responsible for any sales, use, value added, or similar taxes imposed on payments to Service Provider, excluding taxes based on Service Provider's net income.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement without cause by providing the other party with written notice at least days prior to the effective date of termination.

Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Upon termination, Client shall pay Service Provider for all services performed and documented expenses incurred through the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") in any form that is designated as confidential or that, given the nature of the information, a reasonable person would understand to be confidential.

The Receiving Party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; and (c) not disclose Confidential Information to any third party except to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Confidential Information shall not include information that: (i) is or becomes generally available to the public through no breach of this Agreement by the Receiving Party; (ii) was rightfully known by the Receiving Party prior to disclosure; (iii) is independently developed by the Receiving Party without use of the Confidential Information; or (iv) is rightfully obtained by the Receiving Party from a third party without restriction and without breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located within that state for resolution of disputes arising under or related to this Agreement.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, including any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, of the parties. Any amendments or modifications to this Agreement must be in writing and signed by authorized representatives of both parties.

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets provided the assignee assumes Service Provider's obligations hereunder.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it enforceable.
