What the Business Buffalo Agreement Is

The Business Buffalo Agreement is a customizable commercial contract used to define responsibilities, deliverables, payment terms, and dispute resolution between two business entities. It typically includes identification of the parties, scope of services or goods, performance milestones, pricing and payment schedules, confidentiality terms, indemnity and limitation of liability, and termination clauses. This template is intended for use in domestic U.S. transactions and can be executed on paper or electronically where permitted. Parties should confirm state-specific formalities such as notarization or witness requirements and ensure compliance with ESIGN and applicable state statutes.

Why Parties Use a Business Buffalo Agreement

A Business Buffalo Agreement clarifies expectations, reduces dispute risk, and records payment and performance terms in writing. Clear terms protect both parties, support enforceability under ESIGN/UETA when signed electronically, and simplify audits and recordkeeping for compliance and financial reporting.

Why Parties Use a Business Buffalo Agreement

Who Typically Prepares and Signs This Agreement

Common users include small business owners, procurement teams, in-house counsel, and independent contractors handling commercial agreements.

  • Small and medium businesses negotiating vendor or service contracts requiring clear payment and delivery terms.
  • Legal and compliance teams standardizing contract language and retention policies across the organization.
  • Procurement and operations staff managing purchase orders, milestones, and supplier obligations.

The template supports both one-off transactions and recurring vendor relationships, and can be adapted for industry-specific provisions such as confidentiality or IP assignment.

Who May Sign on Behalf of a Party

Authorized Signer

Individuals with corporate authority—officers or employees with delegated signing power—may execute the Business Buffalo Agreement. Verify board resolutions, corporate bylaws, or authorization letters for entities. For LLCs, confirm manager or member authority and ensure name matches official formation documents.

Third-Party Agents

Agents, brokers, or consultants acting on behalf of a party must present written authorization. Third-party signatures require a clear agency clause and identification; absent express authority, the principal should countersign or confirm the agreement to avoid disputes over enforcement.
