BUSINESS BUNDLE — GENERAL BUSINESS AGREEMENT

WHEREAS

WHEREAS, Party A possesses the expertise and resources to provide certain business services and deliverables described herein; and

WHEREAS, Party B desires to engage Party A to perform such services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows.

Scope of Work

Party A shall perform the services and provide the deliverables described below. All services shall be performed with professional skill and care in accordance with industry standards.

Payment Terms

In consideration for the services and deliverables, Party B shall pay Party A as set forth below. All monetary amounts are in U.S. dollars unless otherwise stated.

If any undisputed payment is not paid within days after the due date, a late fee of % per month (or the maximum lawful rate, if lower) shall accrue on the outstanding amount until paid in full.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the intended termination date. Termination for material breach may be effected immediately if the breaching party fails to cure within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence and shall not disclose to any third party nor use for any purpose other than the performance of this Agreement any confidential or proprietary information disclosed by the other party (the "Disclosing Party") without the Disclosing Party's prior written consent. Confidential information excludes information that is (a) already known to the Receiving Party at the time of disclosure; (b) publicly known through no fault of the Receiving Party; (c) lawfully received from a third party without breach of obligation; or (d) independently developed by the Receiving Party without use of the Disclosing Party's confidential information. The obligations in this section shall survive termination of this Agreement for a period of three (3) years.

Representations; Indemnification

Each party represents that it has the full power and authority to enter into this Agreement. Party A agrees to indemnify, defend and hold harmless Party B from and against any third-party claims arising from Party A's gross negligence or willful misconduct in performing the services. Party B agrees to indemnify, defend and hold harmless Party A from and against claims arising from Party B's use of the deliverables in violation of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties agree that any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in that state.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both parties.

Miscellaneous Provisions

Neither party shall assign this Agreement without the prior written consent of the other, except that a party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. The invalidity or unenforceability of any provision shall not affect the other provisions, which shall remain in full force and effect.

Acknowledgment

Each person signing below represents and warrants that they are authorized to execute this Agreement on behalf of the party for whom they sign and that their signature constitutes a binding obligation of that party.
