What a Business Buy and Sell Agreement Covers

A Business Buy and Sell Agreement is a binding contract that sets terms for the sale, transfer, or succession of ownership interests in a company. It defines what is being sold (stock or assets), price and payment terms, closing conditions, representations and warranties, indemnities, non-compete and confidentiality provisions, and allocation of taxes. The agreement also addresses mechanisms for dispute resolution, escrow or holdbacks, and post-closing obligations. Properly drafted, it coordinates regulatory filings, tax reporting, and any required third-party consents that arise during a sale or ownership transfer.

Why a Clear Agreement Matters for Buyers and Sellers

A well-crafted Business Buy and Sell Agreement reduces ambiguity about price, timing, and responsibilities, limits future disputes, clarifies tax treatment, and preserves business continuity. It creates predictable processes for closing, servicing liabilities, and post-closing adjustments while protecting confidential information and client relationships.

Why a Clear Agreement Matters for Buyers and Sellers

Who typically completes a Business Buy and Sell Agreement

The agreement is prepared and signed by parties involved in ownership transfer and their advisors; the following profiles are typical.

  • Buyers and investor groups: review terms, perform due diligence, arrange financing, and accept closing deliverables.
  • Sellers and owners: define price, representations, post-closing covenants, and ensure tax and transfer documents are complete.
  • Legal and tax advisors: draft transaction language, prepare schedules, advise on tax reporting and regulatory filings.

These roles coordinate document review, signatures, and any required filings or notarizations according to the chosen governing law.

Step-by-step: completing and closing a buy-sell agreement

Follow these primary steps to prepare, review, and finalize a Business Buy and Sell Agreement.

  • 01
Prepare draft: Seller and buyer negotiate core terms and draft the agreement.
  • 02
Due diligence: Buyer reviews financials, contracts, liabilities, and regulatory obligations.
  • 03
Execute documents: Parties sign agreement and ancillary documents by authorized officers.
  • 04
Close and file: Exchange consideration, record required filings, and distribute closing deliverables.

Key legal and financial risks to watch

Tax reporting: 1099 reporting errors may trigger penalties
I-9 compliance: Incomplete I-9s risk fines per DHS rules
Misallocated price: Wrong asset allocation increases tax liability
Unauthorized signatory: Invalid signer can void the sale
Hidden liabilities: Undisclosed debts can trigger indemnity claims
Intentional omission: Fraudulent nondisclosure creates severe remedies

Common mistakes that delay or invalidate transactions

  • Using non-matching legal names for parties causes bank and filing rejections and may delay closing by days or weeks.
  • Failing to allocate purchase price between assets and goodwill can create unexpected tax liabilities and IRS adjustments.
  • Omitting third-party consents or required licenses often prevents closing until waivers are obtained or covenants are renegotiated.
  • Relying on unsigned schedules, inconsistent exhibits, or unsigned amendments leads to disputes about what was agreed at closing.

Real-world examples of buy-sell agreements in practice

Two brief customer examples show typical outcomes when agreements include clear schedules, signature workflows, and retention procedures.

Martin Properties

Tim Martin, founder, used an online buy-sell agreement to finalize a portfolio sale quickly.

  • The process combined asset schedules and escrow mechanics.
  • The result was a documented, auditable closing with clear post-closing obligations and faster transfer of funds and titles.

Fertility Centers of Illinois

John Butler, founder, standardized sale terms across clinics before buyer outreach.

  • Centralized templates included indemnities and transition clauses.
  • Standardization reduced review time, avoided inconsistent reps, and simplified signature collection across multiple entities and signatories.

How digital completion and routing typically work

A standard electronic workflow reduces friction and records each step from sender to final stored copy.

  • Upload: Upload agreement, schedules, and exhibits into the signing platform
  • Prepare fields: Place signature, date, initials, and conditional fields
  • Invite signers: Send role-based invites or provide guest signing links
  • Complete and archive: Collect signatures, capture audit trail, and save final PDF

Signature Order Specify sequential or parallel signing
Authentication Email link, SMS code, or KBA for higher assurance
