Business CAC Agreement

This Business CAC Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Client engages Service Provider to conduct and manage Client Acquisition Campaigns ("CAC Services") intended to identify, qualify and convert prospective customers for Client's goods or services in accordance with the scope described below; and

WHEREAS, Service Provider represents that it possesses the expertise, personnel and resources necessary to perform the CAC Services and will perform such services as an independent contractor in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their agreement with respect to the provision, payment and confidentiality of the CAC Services.

SCOPE OF WORK

Service Provider shall perform the CAC Services described below. The description shall identify deliverables, performance metrics, reporting cadence and approval processes. Any services outside this description are considered out-of-scope and require prior written change order.

PAYMENT TERMS

Client shall pay Service Provider for the CAC Services in accordance with the schedule and amounts set forth below. All amounts are in U.S. dollars unless otherwise agreed in writing.



TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this Agreement.

Either party may terminate for material breach if the breaching party fails to cure within the notice period specified above. Termination for convenience requires the party initiating termination to provide the notice period and to pay for services performed through the effective termination date, including any non-cancellable third-party fees reasonably incurred by Service Provider.

CONFIDENTIALITY

Each party (the Receiving Party) shall hold in confidence and not disclose to any third party any Confidential Information of the other party (the Disclosing Party). "Confidential Information" includes business plans, customer lists, pricing, campaign data, campaign creative and technical processes, and other non-public information disclosed in connection with the CAC Services. Confidential Information does not include information that: (a) is or becomes public through no breach of this Agreement by the Receiving Party; (b) was in the Receiving Party's possession prior to disclosure; or (c) is rightfully received from a third party without restriction.

The Receiving Party shall use Confidential Information solely to perform its obligations under this Agreement and shall restrict disclosure to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Upon termination or written request, the Receiving Party shall return or destroy Confidential Information and certify such action in writing.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider retains ownership of pre-existing intellectual property and tools used to perform the CAC Services. Client receives a limited, non-exclusive license to use deliverables expressly created for Client upon full payment. Any third-party materials included in deliverables are licensed subject to their respective terms and Client is responsible for any required third-party fees.

INDEPENDENT CONTRACTOR; INDEMNIFICATION

Service Provider shall operate as an independent contractor. Nothing in this Agreement creates an employment, partnership or joint venture relationship. Each party shall indemnify and hold harmless the other against claims arising out of its negligence, willful misconduct or breach of this Agreement, except to the extent caused by the indemnified party's own acts.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. Venue for any dispute arising hereunder shall lie in the competent state or federal courts located in that jurisdiction.

ENTIRE AGREEMENT

This Agreement, including any exhibits or written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment shall be effective unless executed in writing by authorized representatives of both parties.

ASSIGNMENT

Neither party may assign this Agreement or any of its rights hereunder without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition or sale of substantially all assets provided the assignee assumes the assigning party's obligations hereunder.
