What a Business Cage Agreement is and when it's used

A Business Cage Agreement is a written contract that defines the terms for occupying and accessing a secured cage or dedicated space on a third-party premises, typically in colocation, warehousing, or data center facilities. It allocates responsibilities for access control, physical security, equipment placement, insurance, liability, permitted uses, and return of property. The agreement establishes who may enter, how keys or access cards are issued, inspection and maintenance rights, payment terms, and procedures for termination or removal of tenant assets. It is a practical risk-management and operational document for both lessor and lessee.

Why a clear Business Cage Agreement matters

A precise agreement reduces disputes, sets security expectations, and clarifies liability and insurance coverage for both parties. It also documents operational responsibilities such as access procedures and equipment controls.

  • IT and colocation customers storing servers or network gear in secured cages
  • Logistics managers and third-party logistics providers responsible for stored inventory

Permitted equipment

List allowed equipment types, weight/load limits and power or cooling obligations to avoid safety violations and damage claims.

Insurance and indemnity

State minimum insurance limits, required certificates, and indemnity allocations for loss, theft, or third-party claims to allocate financial risk appropriately.

Term and renewal

Maintenance and repairs

Allocate responsibility for routine maintenance, emergency repairs, and access needed for inspections or safety work.

Best practices to reduce delays and disputes

Use clear, objective requirements and corroborating documents to avoid later misunderstandings that affect access or liability.

Use a checklist for onboarding
Create a pre-move checklist that requires proof of insurance, signed agreement, inventory list, and scheduled access activation so operations can coordinate installations without unexpected refusals.
Define service-level expectations
Include response times for technician access and escalation paths for security incidents to avoid disputes about permitted activities during outages or maintenance windows.
Keep inventory annexes current
Attach an exhibit listing tenant equipment and serial numbers; update it when assets change to support recovery and reduce liability on removal.
Standardize signature authority
Require a corporate resolution or power-of-attorney evidence for entity signers to prevent claims of unauthorized execution and to speed contract acceptance.

Common mistakes to avoid when preparing the agreement

  • Using vague location descriptions that don't match facility records leads to disputes over which area is covered.
  • Failing to require a current certificate of insurance can leave owners exposed to uninsured loss or delayed activation.
  • Omitting precise removal dates or remediation windows increases removal costs and litigation risk.
  • Not confirming signature authority or using unsigned exhibits creates ambiguity about who has binding authority.

Security, compliance, and data handling expectations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
