RECITALS (WHEREAS)

WHEREAS, Client engages Provider to develop and maintain a coordinated business calendar that identifies key project milestones, deliverable deadlines, and periodic operational events necessary to achieve Client's objectives; and

WHEREAS, Provider has represented that it possesses the personnel, tools, and procedures necessary to prepare, track, and report the business calendar items and to notify responsible parties in accordance with the schedule set forth in this Agreement; and

WHEREAS, the Parties desire to set forth the Business Calendar, payment terms, and related responsibilities in a written Agreement to govern coordination and performance.

The Parties agree the following events, dates, and responsible parties shall comprise the Business Calendar. Provider shall maintain and update this calendar and shall notify Client in writing of any proposed changes in accordance with the Notice provisions below.

Late Fee: If any undisputed payment is not received within 15 days of the due date, Client shall pay interest at % per month on the outstanding balance, calculated monthly, plus reasonable collection costs.

Either Party may terminate this Agreement for convenience upon providing days' prior written notice. Termination for material breach shall be effective upon delivery of written notice specifying the breach and a ten (10) day cure period, except that failure to pay undisputed amounts shall permit immediate termination after notice.

Upon termination, Client shall pay Provider for all work performed and documented expenses incurred through the effective date of termination, together with any non‑cancelable obligations then outstanding.

CONFIDENTIALITY

Each Party acknowledges that during performance it may receive Confidential Information of the other Party. Confidential Information means all non-public information disclosed in tangible or intangible form that a reasonable person would understand to be confidential. Each Party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees, agents or subcontractors with a need to know and subject to obligations of confidentiality at least as protective as those herein; and (c) not disclose Confidential Information to any third party without prior written consent of the disclosing Party. Confidential Information does not include information that: (i) is or becomes publicly available other than by breach of this Agreement; (ii) is rightfully received from a third party without restriction; or (iii) was known prior to disclosure as demonstrated by written records.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The Parties submit to the exclusive jurisdiction of the competent courts located in that State for disputes arising under this Agreement.

ENTIRE AGREEMENT AND MISCELLANEOUS

This Agreement, including any calendar entries and attachments executed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both Parties. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
