BUSINESS CALL LIST AND SERVICES AGREEMENT

This Business Call List and Services Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Client maintains a prospect roster and requires telephonic outreach and contact management services to engage prospective business contacts; and

WHEREAS, Service Provider possesses personnel, systems and expertise to perform outbound calling, call tracking and list maintenance (collectively, the Services) for Client in accordance with the terms set forth herein; and

WHEREAS, the parties desire to document the Services, the Business Call List, and the remuneration for such Services in a binding agreement.

SCOPE OF WORK

Service Provider will perform outbound telephone outreach to contacts provided by Client, maintain a call log, report outcomes, and update the Business Call List as described below. Tasks include live calling, voicemail drops where permitted, appointment setting, contact verification, and disposition coding.

BUSINESS CALL LIST

Client will deliver to Service Provider an initial call list. Service Provider will maintain the list, annotate call outcomes, and return an updated list with dispositions at the agreed reporting intervals. The parties may designate certain contacts as high priority for escalation.

PAYMENT TERMS

Client shall pay Service Provider the fees described below in consideration for Services and list maintenance. All amounts are in U.S. dollars unless otherwise agreed in writing.

Late payments will bear interest at on the unpaid balance, plus any costs reasonably incurred to collect overdue sums.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Termination for material breach shall be permitted if the breaching party fails to cure a material breach within 15 days after written notice.

CONFIDENTIALITY

Each party acknowledges that, in the course of performance, it may receive Confidential Information of the other party. "Confidential Information" includes non-public lists, contact information, call dispositions, pricing, and strategic or technical data. Each party agrees to: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely for the performance of this Agreement; and (c) not disclose Confidential Information to any third party except as required by law or to agents who are bound by confidentiality obligations no less protective than those herein. These obligations survive termination for a period of two (2) years.

COMPLIANCE AND REPRESENTATIONS

Each party represents and warrants that it will comply with all applicable laws, rules and regulations governing telephonic outreach, data privacy, and do-not-call obligations. Service Provider shall implement reasonable procedures to avoid calling numbers designated as restricted by Client. Client warrants that it has the right to provide the contacts and to authorize Service Provider to call such contacts for the purposes set forth in this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments and the Business Call List delivered under it, constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior negotiations, proposals, agreements or understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except to a successor by merger or sale of substantially all assets. The rights and remedies provided herein are cumulative and not exclusive.
