Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for material breach is effective immediately upon written notice if the breaching party fails to cure within ten (10) days after receiving notice of the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any confidential or proprietary information disclosed by the other party (the "Disclosing Party") in connection with this Agreement, including call content, business plans, financial information and trade secrets. Confidential information does not include information that is (i) publicly available through no fault of the Receiving Party, (ii) already in the Receiving Party's possession prior to disclosure, (iii) rightfully obtained from a third party without restriction, or (iv) required to be disclosed by operation of law, provided that the Receiving Party gives prompt written notice to the Disclosing Party and cooperates in any effort to obtain protective measures.

Confidentiality obligations shall survive termination of this Agreement for a period of years, except with respect to trade secrets for which obligations shall continue for as long as the information remains a trade secret under applicable law.

LIMITATION OF LIABILITY

Except for breaches of confidentiality or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. The aggregate liability of each party for any claim arising out of or relating to this Agreement shall not exceed the fees paid by Client to Service Provider under this Agreement in the six (6) month period preceding the event giving rise to the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law rules.

ENTIRE AGREEMENT

This Agreement, including all call-specific schedules and attachments executed in connection with any scheduled call, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Notices required under this Agreement shall be delivered in writing to the contact information provided by each party. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that they have had the opportunity to seek independent legal advice.
