What the Business CAQ Document Is and when it matters

The Business CAQ Document is a formal, written record used to collect corporate certifications, authority confirmations, and factual attestations required for commercial transactions, vendor onboarding, licensing, or regulatory compliance. It typically assembles entity details, authorized signers, taxation identifiers, and declarations about corporate good standing or authority to act. Organizations use the form to verify counterparties, enable payment processing, and satisfy due diligence or Know Your Customer requirements. Proper completion reduces onboarding friction and creates an auditable record for future compliance reviews, audits, and records retention obligations.

Why completing a clear Business CAQ Document matters

A complete Business CAQ Document standardizes verified company facts, shortens vendor setup times, and supports tax and regulatory compliance. It creates an auditable record that demonstrates authority, reduces payment hold-ups, and documents required legal details for internal controls and third-party audits.

Why completing a clear Business CAQ Document matters

Who prepares and who reviews the Business CAQ Document

Typical preparers and reviewers include finance, legal, procurement, and authorized company officers.

  • Finance and Accounts Payable teams — prepare and verify banking, tax ID, and payment authorization before vendor setup.
  • General Counsel or Corporate Secretary — confirm corporate authority language, bylaws references, and signer delegation when legal review is required.
  • Vendors and Procurement — request completed CAQ to validate counterparty authority before contract execution or payments.

The same document can be reused across vendors and stored as part of corporate onboarding files for consistency and auditability.

Step-by-step: Completing the Business CAQ Document

Complete the form in sequence to avoid omissions; check fields, confirm identity, and capture an auditable signature event.

  • 01
Prepare: Gather formation documents, EIN, and corporate resolution.
  • 02
Complete fields: Fill entity, address, TIN, and signer details.
  • 03
Verify: Confirm identity and authority with corporate records.
  • 04
Sign and record: Obtain signature and retain audit trail.

How to set up an online CAQ workflow

Configure an online workflow that validates identity, enforces required fields, and captures an immutable audit log.

Field Validation Require TIN format, address, and date fields to reduce errors.
Signer Authentication Use email + SMS or stronger options for high-risk transactions.
Order of Signing Set sequential signing for internal review before external signature.
Attachment Rules Require upload of formation docs or resolutions where necessary.
Audit Capture Record timestamps, IP, and authentication method automatically.

Technical considerations for eSubmission and distribution

Ensure the platform meets any regulatory compliance needs (HIPAA, SOC 2, 21 CFR Part 11) and stores an exportable certificate of completion for audits.

  • File formats: PDF, DOCX supported
  • Integrations: CRM and cloud storage
  • Authentication: Email, SMS, KBA optional

Penalties and risks from incorrect or incomplete CAQ filings

1099 Filing Risk: 1099 late penalties per form: $60/$130/$330
Backup Withholding: 24% withholding if TIN missing or incorrect
I-9 Violations: I-9 paperwork fines range significantly
Contract Enforceability: Unsigned or misattributed signatures may void authorization

Fraud Exposure: False authority claims risk civil liability

Common mistakes when preparing the Business CAQ Document

  • Incomplete TIN or mismatched legal names between the CAQ and formation documents, causing payment holds and potential backup withholding.
  • Omitting corporate resolution or meeting minutes when required, which delays vendor acceptance and may require attorney involvement.
  • Using informal or abbreviated addresses and titles that fail system validation or prevent successful delivery of legal notices.
  • Failing to capture a clear signer authentication record—no audit trail can undermine enforceability in disputes.

Security and compliance controls to look for when storing CAQs

In transit: TLS 1.2/1.3
At rest: AES-256 encryption
Certifications: SOC 2 Type II, ISO 27001
Privacy: GDPR, CCPA compliance
Healthcare: HIPAA (BAA required)
Audit Logs: Detailed timestamped trails
