BUSINESS CARD DESIGN SERVICES AGREEMENT

This Business Card Design Services Agreement ("Agreement") is entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Client desires to engage Designer to create and deliver business card design templates and related deliverables as described in this Agreement; and

WHEREAS, Designer represents that Designer has the skill, experience and resources necessary to perform the services described herein and agrees to provide such services to Client under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment, ownership and other terms governing the provision of business card design services.

1. SCOPE OF WORK

Designer shall provide design services for business card templates and related artwork (the "Services"). Designer shall prepare concepts, revisions, and final deliverables as set forth below. Specific tasks, milestones and technical specifications shall be detailed by the parties in the Scope of Work field:

2. PAYMENT TERMS

Client shall pay Designer the total fee set forth below in consideration for the Services. All amounts are payable in U.S. Dollars unless otherwise agreed in writing.

3. TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within Notice Period: after receipt of written notice. Upon termination for Client's convenience, Client shall pay Designer for Services performed and non-cancellable expenses incurred through the effective date of termination.

4. CONFIDENTIALITY

Each party agrees that Confidential Information disclosed by the other party will be held in confidence and used only for performance under this Agreement. Confidential Information does not include information that is or becomes publicly known through no breach by the receiving party, was rightfully received from a third party without restriction, or is independently developed. The obligations of confidentiality shall survive for a period of three (3) years following termination of this Agreement unless otherwise agreed in writing.

5. OWNERSHIP, LICENSE AND USE

Upon receipt of final payment in full, Designer shall transfer ownership of final deliverables as follows: . Notwithstanding the foregoing, Designer retains the right to use non-confidential aspects of the work for portfolio and promotional purposes unless Client has marked the project confidential above.

Client acknowledges that Designer may use licensed third-party assets (fonts, stock images) which are subject to their own license terms; Client is responsible for any additional licensing fees required for extended uses beyond agreed deliverables.

6. REVISIONS; APPROVALS

The Agreement includes Revision Allowance: . Additional revisions beyond the allowance will be billed at Designer's hourly rate: per hour. Client shall provide timely approvals and feedback; Designer is not responsible for delays caused by Client's failure to respond.

7. REPRESENTATIONS; INDEMNITY; LIMITATION OF LIABILITY

Each party represents that it has authority to enter into this Agreement. Client shall indemnify and hold Designer harmless from claims arising from Client-provided materials, content or trademarks. Designer's total liability under this Agreement shall not exceed the total fees paid by Client to Designer for the Services, except for liability arising from willful misconduct or gross negligence.

8. TAXES AND EXPENSES

Fees do not include applicable taxes. Client is responsible for sales, use or other taxes attributable to the Services. Client shall reimburse Designer for pre-approved, reasonable out-of-pocket expenses incurred in connection with performance of the Services.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of: without regard to conflict of law principles.

10. ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both parties.

11. SURVIVAL

Provisions concerning confidentiality, ownership, indemnity, limitation of liability and payment obligations shall survive termination or expiration of this Agreement.
