Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within days after receipt of written notice. Termination does not relieve Client of payment obligations for work performed and costs incurred through the effective date of termination.

CONFIDENTIALITY

Each party agrees that Confidential Information disclosed by the other party shall be used solely for purposes of performing this Agreement. Confidential Information includes artwork, client lists, pricing, and non-public business information. The receiving party shall not disclose such information except to employees or contractors who need access to perform the Agreement and who are bound by confidentiality obligations no less protective than those herein. Confidential obligations survive for three (3) years following termination or expiration of this Agreement.

INTELLECTUAL PROPERTY AND APPROVALS

Client represents that it owns or is authorized to use all trademarks, logos, and artwork supplied to Provider. Provider retains ownership of any Provider-originated layout, templates, or prepress files until full payment is received. Client's written approval of final proof constitutes acceptance of color and layout; reprints due to Client-approved proofs are the responsibility of Client.

DELIVERY

Shipping and handling charges are the responsibility of Client unless otherwise stated. Provider will use commercially reasonable efforts to meet delivery estimates but is not liable for delays due to causes beyond its reasonable control.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by the laws of the State of without regard to its conflict of law rules. The parties consent to the exclusive jurisdiction of courts located within that state for any action arising out of this Agreement.

This Agreement, together with any attached schedules or approved proofs acknowledged in writing, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals, and representations. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Severability: If any provision is held unenforceable, the remainder shall remain effective. Waiver: Failure to enforce a provision shall not constitute a waiver. Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a sale of substantially all assets.
