WHEREAS

WHEREAS, Client desires to engage Designer to create one or more business card templates and associated artwork for Client's use, and Designer has the skills and experience to provide such services under the terms set forth herein.

WHEREAS, the parties intend that the business card templates shall be delivered in specified formats, with ownership and payment terms set forth in this Agreement to avoid ambiguity regarding rights, delivery, and compensation.

SCOPE OF WORK

Designer shall prepare and deliver the business card template designs and associated deliverables described below. The detailed specifications and acceptance criteria are as follows.

PAYMENT TERMS

Compensation for the Services shall be as follows.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within 15 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is publicly known, independently developed without access to the other party's Confidential Information, or rightfully received from a third party without restriction.

Designer shall not disclose Client's proprietary branding information, trade secrets, or personal contact information provided for the purposes of completing the Services, and shall use Confidential Information solely to perform the Services under this Agreement.

INTELLECTUAL PROPERTY AND LICENSE

Upon full and final payment of all amounts due, Designer assigns to Client all right, title, and interest in and to the final approved business card artwork delivered as part of the Deliverables, subject to the exceptions below and any third-party materials licensed to Designer. Notwithstanding assignment of the final approved artwork, Designer retains the right to use non-confidential elements of the work for portfolio and self-promotional purposes unless Client checks the box below to prohibit portfolio use and pays an agreed fee for such prohibition.

Client grants Designer permission to display non-confidential final artwork in Designer's portfolio and marketing materials.

WARRANTIES; INDEMNITY

Designer represents and warrants that Designer has the right to grant the rights granted under this Agreement, and that the Deliverables shall not infringe third-party intellectual property rights to the best of Designer's knowledge. Client agrees to indemnify and hold Designer harmless from any claims arising from Client-provided materials or Client's modification of the Deliverables after delivery.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attached exhibits and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification of this Agreement must be in writing and signed by both parties.

DELIVERY, ACCEPTANCE, AND MISCELLANEOUS

Designer will deliver initial concepts within business days of Effective Date or receipt of required materials, whichever is later. Client will review deliverables and provide consolidated feedback within business days of receipt, failing which the deliverable will be deemed accepted.

Any notices required under this Agreement shall be in writing and delivered to the contact information provided by each party.
