Confidential Information shall not include information that is or becomes publicly known through no fault of the receiving party, or that the receiving party can prove was already known to it prior to disclosure.

This Business Case shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree to attempt in good faith to resolve disputes by negotiation prior to initiating formal legal proceedings. If negotiation fails, disputes shall be resolved through the courts located in the state named above, unless otherwise agreed in writing.

Entire Agreement

This document, together with any attached schedules, exhibits or statements of work expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or waiver shall be binding unless executed in writing by authorized representatives of both parties.
