BUSINESS CCI FORMS

This General Business Agreement (the Agreement) is entered into as of the Effective Date set forth below by and between:

WHEREAS

WHEREAS, Client requires certain commercial consulting, compliance and implementation services relating to CCI business processes and systems; and

WHEREAS, Service Provider represents that it has the skill, personnel and experience necessary to perform the services described in this Agreement and agrees to perform such services pursuant to the terms and conditions set forth below.

SCOPE OF WORK

Service Provider shall perform the work described below and any additional tasks agreed in writing by both parties. Service Provider will deliver work products and perform duties with commercially reasonable skill and care.

PAYMENT TERMS

Compensation: Client shall pay Service Provider the fees set forth below in full consideration for services rendered under this Agreement.

Late Payment: Any undisputed amount not paid within days after the invoice due date shall accrue interest at the rate of or the maximum rate allowed by law, whichever is less. Client shall also reimburse Service Provider for reasonable collection costs and attorneys' fees.

TERM AND TERMINATION

Term: This Agreement commences on the Start Date and continues until the End Date unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement for any reason upon prior written notice to the other party given no less than days prior to the effective date of termination. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred prior to termination.

Termination for Cause: Either party may terminate immediately for cause upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice describing the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public business, technical and financial information disclosed by either party that is designated as confidential or that, given the nature of the information, should reasonably be understood to be confidential.

Obligations: Each party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except as expressly permitted by this Agreement, and (c) use Confidential Information only to perform its obligations under this Agreement. Receiving party shall take reasonable measures to protect Confidential Information from unauthorized use or disclosure, at least as protective as those used to protect its own confidential materials.

Exceptions: Confidential Information does not include information that (i) is or becomes publicly available without breach of this Agreement, (ii) was rightfully known by the receiving party prior to disclosure, (iii) is independently developed without use of or reference to the disclosing party's Confidential Information, or (iv) is disclosed under a valid order of a court or government agency, provided the receiving party gives prompt notice and cooperates in any effort to limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from the indemnifying party's gross negligence or willful misconduct. Except for obligations with respect to confidentiality or indemnification for gross negligence or willful misconduct, neither party shall be liable for special, incidental, consequential or punitive damages and the aggregate liability of each party for any claim arising out of this Agreement shall not exceed the total amounts paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the claim.

ENTIRE AGREEMENT

This Agreement, including all exhibits and written statements of work attached hereto, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior oral or written agreements, understandings or representations. Any amendment must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notices shall be deemed given upon personal delivery, one business day after delivery to an overnight courier, or three business days after deposit in the U.S. mail, postage prepaid.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power and authority to enter into this Agreement and that performance of its obligations will not violate any applicable law or contractual obligation of such party.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall continue in full force and effect. Headings are for convenience only and shall not affect interpretation.
