BUSINESS CONFIDENTIAL DISCLOSURE AGREEMENT

Recitals

WHEREAS, the Disclosing Party possesses certain non-public information, trade secrets, technical data, business plans and other proprietary information that is valuable and confidential;

WHEREAS, the Parties desire to disclose and receive certain Confidential Information for the limited purpose of evaluating and negotiating a potential business relationship relating to (Purpose);

WHEREAS, the Parties desire to set forth their respective rights and obligations with respect to the disclosure and protection of such Confidential Information.

Payment Terms

In consideration for disclosure or performance described in this Agreement, Receiving Party shall pay Disclosing Party as set forth below. All payments are non-refundable unless otherwise expressly stated in writing.

If any payment is not received within the agreed payment schedule, Receiving Party shall pay the Late Fee set forth above. Acceptance of late payments shall not constitute a waiver of any remedy available to Disclosing Party.

Term and Termination

This Agreement commences on Start Date: and terminates on End Date: , unless earlier terminated as provided herein. Either Party may terminate this Agreement for convenience upon written notice to the other Party provided at least days prior to the effective date of termination.

Termination shall not relieve Receiving Party of its obligations with respect to Confidential Information disclosed prior to termination, and Sections relating to confidentiality, return of materials, remedies and governing law shall survive termination as provided herein.

Confidentiality

Definition. "Confidential Information" means any information disclosed by Disclosing Party to Receiving Party, whether orally, visually or in writing, that is designated as confidential or that, given the nature of the information or circumstances of disclosure, reasonably should be understood to be confidential, including but not limited to trade secrets, technical data, product designs, prototypes, engineering, financial information, customer lists and business plans.

Obligations. Receiving Party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not disclose Confidential Information to any third party except as authorized in writing by Disclosing Party; and (c) use Confidential Information solely to evaluate or perform the Purpose described in this Agreement.

Duration. The obligations of confidentiality shall remain in effect for a period of years from the date of disclosure, except with respect to trade secrets, for which obligations shall survive for so long as such information remains a trade secret under applicable law.

Exclusions and Compelled Disclosure

Exclusions. Confidential Information does not include information that: (a) is or becomes publicly available other than through breach of this Agreement; (b) was rightfully in Receiving Party's possession before receipt; (c) is rightfully obtained by Receiving Party from a third party without restriction; or (d) is independently developed by Receiving Party without use of or reference to Disclosing Party's Confidential Information.

Compelled Disclosure. If Receiving Party is compelled by law to disclose Confidential Information, Receiving Party shall provide Disclosing Party prompt written notice (to the extent permitted) and cooperate with Disclosing Party, at Disclosing Party's expense, to seek a protective order or other remedy. If disclosure is required, Receiving Party shall disclose only that portion of Confidential Information that is legally required to be disclosed.

Return or Destruction of Materials

Upon written request of Disclosing Party or upon termination of this Agreement, Receiving Party shall, within days, return or destroy all Confidential Information in its possession and certify in writing that it has done so, except that Receiving Party may retain one archival copy solely for compliance and internal recordkeeping subject to the terms of this Agreement.

Remedies

Receiving Party acknowledges that breach of this Agreement would cause irreparable injury to Disclosing Party for which monetary damages may be inadequate. Accordingly, Disclosing Party shall be entitled to injunctive relief and other equitable remedies in addition to any available monetary damages. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located within that state for purposes of any dispute arising under this Agreement.

Entire Agreement; Miscellaneous

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both Parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth above or to such other address as a Party may designate in writing. Notice shall be effective upon delivery if delivered personally or by nationally recognized overnight courier, or three (3) business days after mailing by certified mail, return receipt requested.
