WHEREAS

WHEREAS, Client requires the provision of Customer Experience Management ("CEM") services, including but not limited to analysis, system integration, and ongoing monitoring as further described in the Scope of Work; and

WHEREAS, Service Provider represents that it has the experience, personnel and systems necessary to provide such CEM services and agrees to perform those services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

Total Compensation: payable in accordance with the payment schedule below.

Invoices shall be submitted by Service Provider and are payable within days of receipt unless otherwise agreed in writing.

Late Payment Fee: Amounts not paid when due shall accrue a late fee of on the outstanding balance, compounded monthly, or the maximum allowed by applicable law, whichever is less.

Taxes and Withholding: Each party shall be responsible for its own taxes. Client shall withhold taxes only as required by applicable law and shall provide proof of withholding when requested.

3. Term and Termination

Either party may terminate this Agreement for convenience upon written notice of days to the other party. Termination for material breach shall be effective immediately upon written notice if the breach is not cured within thirty (30) days of receipt of such notice.

4. Confidentiality

Each party ("Receiving Party") shall keep confidential all non-public, business, technical and financial information of the other party ("Disclosing Party") disclosed in connection with this Agreement. Confidential information shall not include information that is (a) already known to the Receiving Party without restriction at the time of disclosure; (b) becomes publicly known through no act or omission of the Receiving Party; (c) is lawfully received from a third party without breach of an obligation of confidentiality; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's confidential information.

The obligations in this section shall continue for a period of after termination or expiration of this Agreement, except with respect to trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law principles.

6. Miscellaneous

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or successor in interest.

Indemnification: Service Provider shall defend, indemnify and hold Client harmless from and against any third-party claims arising out of Service Provider's gross negligence or willful misconduct in the performance of the Services. Client shall indemnify Service Provider against claims arising from Client's violations of law or misuse of deliverables.

Limitation of Liability: Except for liability arising from willful misconduct, gross negligence, or breach of confidentiality, neither party's aggregate liability for damages under this Agreement shall exceed the total amount of fees paid by Client to Service Provider in the twelve (12) months preceding the claim.

7. Entire Agreement

This Agreement, including any exhibits or amendments executed in writing by the parties, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and communications, whether written or oral.

Amendments to this Agreement must be made in writing and signed by authorized representatives of both parties.
