What a Business CFO Letter Is and When It's Used

A Business CFO Letter is a formal written attestation from a company's chief financial officer that verifies specific financial facts, confirms authority, or provides assurances to third parties such as lenders, vendors, auditors, escrow agents, or counterparties. Common uses include confirming cash balances, attesting to approval of capital expenditures, clarifying accounting treatments or internal control status, and supporting loan or escrow funding. The document should identify the scope, cite supporting schedules where needed, be dated, and be signed by an authorized CFO to maximize reliance and reduce follow-up requests.

Why a Clear CFO Letter Matters for Transactions and Compliance

A concise, well-structured Business CFO Letter provides a single, verifiable source of financial statements and assertions that reduces underwriting friction, supports audits, and documents corporate representations for legal or regulatory review.

Why a Clear CFO Letter Matters for Transactions and Compliance

Typical Requesters and Preparers of CFO Letters

Typical users who prepare or request a Business CFO Letter include finance teams, lenders, auditors, and compliance officers handling credit, vendor onboarding, or regulatory reviews.

  • Corporate CFOs and Finance Directors responsible for preparing formal attestations and financial disclosures for third parties.
  • Lenders, credit committees, and treasury teams that require verified balances and covenant confirmations for loan approvals.
  • External auditors, escrow agents, and legal counsel reviewing transactions, closings, or regulatory filings.

External recipients commonly include banks, escrow agents, auditors, underwriters, and counterparties seeking documentary assurance tied to a specific transaction.

Core Elements That Make a CFO Letter Professional and Reliable

Organize the letter so recipients can quickly verify authority, scope, and the underlying financial facts; include clear limits and attachments to support assertions.

Header

Include company name, address, letter date, recipient name and subject line so the letter ties to the correct transaction or file.

Statement of Authority

Identify the CFO by printed name and title and note the corporate authority or board resolution that permits the attestation.

Scope

Define exactly what is being confirmed (specific balances, periods, approvals) and the date or range covered to avoid misinterpretation.

Factual Statements

Provide precise figures, reference supporting schedules, and indicate whether amounts are audited, reviewed, or unaudited.

Limitations

State assumptions, qualifications, and exclusions; identify reliance limits and whether the letter is solely for a named recipient.

Signature

Include original or electronic signature, printed name, title, and reachable contact details; ensure signature method supports attribution.

Step-by-Step: Create, Approve, Sign, and Deliver the Letter

Follow these four stages to complete and deliver a Business CFO Letter accurately and efficiently in four clear stages.

  • 01
Prepare Data: Gather financial statements, supporting schedules, and auditor notes.
  • 02
Draft Letter: State purpose, summarize facts, and reference supporting documents.
  • 03
Review & Approve: Internal legal and finance review; CFO signs final version.
  • 04
Deliver: Send to recipient with documented delivery evidence and retain copies.

Typical Workflow from Drafting to Archival

Typical delivery combines drafting, internal approval, signing, and documented delivery to the requesting party for recordkeeping.

  • Draft: Compose letter and attach schedules.
  • Approval: Legal and finance review sign-off.
  • Sign: CFO signs electronically or on paper.
  • Deliver: Send via secure channel with audit trail.

Transport: TLS 1.2/1.3
Certifications: SOC 2 Type II, ISO 27001
HIPAA: BAA available
Audit Trail: Detailed timestamps & IPs
Accessibility: WCAG 2.0 AA compliant

Key Risks and Potential Consequences of Errors

Contract Risk: Rescission or breach claims
Regulatory Scrutiny: Fines or enforcement actions
Tax Penalties: IRS penalties for misstatements
Reputational Damage: Loss of stakeholder trust
Loan Denial: Financing withdrawn or delayed
Liability Exposure: Personal or corporate liability

Common Pitfalls to Avoid When Preparing the Letter

  • Using vague language or failing to specify covered dates causes follow-up inquiries and can invalidate the letter for lending or audit purposes.
  • Submitting unsigned or improperly authorized letters leads recipients to request notarization, corporate authorization, or independent confirmation.
  • Providing figures without attachments or reconciliations increases suspicion and may trigger requests for audited statements or CFO interviews.
  • Not retaining robust audit trails with electronic signatures makes authentication difficult when attribution or timing are disputed.

Timing and Response Expectations
