What the Business CG Document Is and why it matters

A Business CG Document, commonly called a Certificate of Good Standing or Certificate of Status, is an official record issued by a state Secretary of State that confirms a business entity is properly formed and current on required filings and fees. It documents the entity's legal existence and active status under state law, and is often requested by banks, licensing authorities, contracting partners, and foreign jurisdictions when a business seeks to operate, open accounts, or qualify to do business in another state.

Why obtaining a Business CG Document matters for transactions

A current certificate provides third parties confidence that the entity is authorized to transact business, helps avoid delays in banking, licensing, and mergers, and is often a mandatory attachment for foreign qualification. It is an identity and compliance document, not a substitute for corporate minutes or tax clearance requirements.

Why obtaining a Business CG Document matters for transactions

Who typically requests or provides the Business CG Document

The Business CG Document is requested by organizations and individuals who need official evidence of a company's good standing before completing high-stakes transactions.

  • Lenders verifying corporate existence and compliance prior to account opening or lending approval.
  • State agencies and licensing boards requiring proof for professional licenses or permits.
  • Businesses completing mergers, acquisitions, or foreign qualification filings in another state.

Different stakeholders use the certificate for distinct purposes: due diligence, regulatory compliance, contract execution, or cross‑jurisdictional registration.

Typical signatories and requestors

Corporate Counsel

General counsel or assigned corporate attorney who orders or reviews the certificate to confirm entity status during transactions, regulatory filings, or contract closings. They ensure the certificate matches corporate records and advise on supplemental documentation when state records differ.

Registered Agent

Registered agents or business owners who request the certificate for banking, licensure, or foreign registration. They coordinate the request with the Secretary of State and validate the entity name, filing number, and recorded status before distributing the certificate.

Core elements included in a Business CG Document

A typical certificate contains official state data that third parties rely on; understanding each element helps ensure the certificate satisfies requester requirements.

Entity Name

The legal name of the company as filed with the state, including any designator (LLC, Inc., Ltd.). Exact matching prevents rejection by banks or licensing authorities.

Formation Date

The original date of formation or incorporation as recorded by the state. Requesters use this to verify corporate age and continuity for compliance or contracting thresholds.

State of Formation

The issuing state that maintains the record. Certificates from the state of formation confirm domestic status and are required for many foreign qualification filings.

File or Entity Number

The unique identifier assigned by the Secretary of State. Including this number reduces ambiguity where multiple similar names exist.

Status Statement

An explicit statement that the entity is active, in good standing, or compliant with filing requirements at the issuance date; precise wording may vary by state.

Issue Date and Seal

The date the certificate was issued and an official seal or electronic certification that authenticates the record for use by third parties.

  • Requesting the wrong delivery type when the recipient requires a certified hard copy can invalidate the submission for that purpose.
  • Failing to state the certificate's intended use when required by the state or recipient can block expedited processing or acceptance.
