What a Business CG Letter Is and when it’s used

A Business CG Letter is a formal, written notice used by a company to communicate corporate guarantees, confirmations, or governance-related commitments to another party. Typical uses include confirming board approvals, guaranteeing contractual obligations, certifying corporate authority, or documenting conditions tied to financing or closing. The letter should identify the issuing entity, the recipient, the specific commitment or certification, the effective date, and the authorized signatory, and it is often attached to transaction files or regulatory submissions for recordkeeping and audit purposes.

Why a clear Business CG Letter matters

A precise Business CG Letter reduces ambiguity, documents authority, and creates an auditable record that supports enforceability and regulatory compliance under ESIGN and UETA.

Why a clear Business CG Letter matters

Who typically prepares and receives this letter

Several organizational roles commonly draft or request a Business CG Letter depending on the transaction and compliance needs.

  • Corporate officers and general counsel who must certify board actions or corporate authority for contracts or finance transactions.
  • Lenders, investors, and counterparties that require written guarantees or confirmations before funding, closing, or acceptance.
  • Compliance, audit, and transaction teams that maintain documentary evidence for regulatory review or internal controls.

Tailor the letter to the recipient’s requirements and retain a signed copy in the corporate records for the applicable retention period.

Essential parts of a professional Business CG Letter

A well-structured letter groups factual elements, the commitment, limitations, and the signature block to reduce disputes and support clear interpretation.

Letterhead & Date

Use corporate letterhead and enter the full date (MM/DD/YYYY) to anchor when the certification or guarantee takes effect.

Identifying Parties

Name the issuing legal entity and the recipient precisely, including legal suffixes and registered addresses to avoid ambiguity.

Statement of Purpose

Describe the specific certification, guarantee, or representation being made and the factual basis for it.

Scope and Limits

Limit the letter to defined obligations, timeframes, and any conditions precedent or reservations of rights.

Supporting Attachments

Attach board minutes, resolutions, or other evidence referenced in the letter and list them within the body.

Authorized Signature

Include the signer’s printed name, title, and a dated signature block; indicate whether notarization or witnessing is required.

Step-by-step process to complete and issue the letter

Follow these steps to prepare, approve, and distribute a compliant Business CG Letter.

  • 01
Draft the text: Write the commitment clearly and reference supporting documents.
  • 02
Obtain internal approval: Secure required board or officer authorization per bylaws.
  • 03
Sign and authenticate: Have the authorized officer sign; notarize if state or recipient requires it.
  • 04
Distribute and archive: Send to recipients and retain a signed copy in corporate records.

  • Integrations: Connects with Salesforce and Google Workspace.

Ensure the vendor provides an auditable certificate of completion, complies with ESIGN/UETA, and supports any necessary BAAs or regulatory controls.

Typical eSubmission flow for a Business CG Letter

A standard online flow collects the signed letter and evidence while preserving chain-of-custody metadata for audits and records.

  • Upload document: Upload the draft letter and attachments to the signing platform.
  • Place fields: Add signature, date, and attachment fields for each participant.
  • Invite signers: Send secure links or email invitations to authorized signers.
  • Capture audit trail: Platform records timestamps, IPs, and completion artifacts.

Common preparation errors to avoid

  • Using an informal or ambiguous description of the guarantee that creates uncertainty about scope and duration.
  • Failing to verify that the signer has delegated authority or proper corporate approval, leading to unenforceable commitments.
  • Omitting supporting evidence such as a board resolution, which undermines the factual basis for the certification.
  • Sending different versions to parties or changing dates without clear amendment language, causing disputes over the operative instrument.
