What the Business Change of Agent Form Is and When it’s Used

The Business Change of Agent Form notifies a state filing office that a business is replacing its registered agent or agent for service of process. It typically records the outgoing agent, the new agent’s legal name and address, and the effective date of the change. Most U.S. jurisdictions require this filing to ensure service of process and official notices are delivered to a reliable contact. The form can be filed by an officer, authorized manager, or an attorney registered to act on behalf of the business.

Why Updating Your Registered Agent Matters

Using a Business Change of Agent Form keeps legal notices and court papers deliverable, maintains good standing with the Secretary of State, and reduces the risk of default judgments from missed service. It also clarifies who is authorized to accept legal process and official correspondence on behalf of the company under state law.

Why Updating Your Registered Agent Matters

Who Typically Files a Change of Agent

The form is most often completed by corporate officers, LLC managers, registered agent services, or attorneys who manage corporate filings.

  • Corporate officers and directors who control corporate records and filings for the entity; they confirm board or member approval where required.
  • Professional registered agent companies that consent to receive service and update their records to accept official mail and legal process.
  • Attorneys or corporate service firms that manage filings and ensure compliance with Secretary of State requirements across multiple jurisdictions.

Ensure the signer is authorized under the entity’s governing documents; many states require an officer or authorized agent to sign the filing.

Typical Signatories and Their Roles

Company Officer

A named corporate officer, managing member, or partner who has authority under the articles or operating agreement to submit filings. This person signs to confirm corporate action and to authorize the registered agent change with the Secretary of State.

Registered Agent

An individual or commercial registered agent service that accepts service of process on the business’s behalf. The agent often signs an acceptance statement or attaches a separate consent file to confirm willingness to serve.

Core Components to Include on a Professional Change of Agent Form

A complete form should capture entity identity, outgoing and incoming agent details, effective date, signer authority, agent consent, and submission instructions for the state filing office.

Entity Identifier

Name and State file number: the legal business name plus the Secretary of State entity or file number to precisely locate the corporate record and avoid misfiling.

Outgoing Agent Info

Full name and mailing address of the departing agent so the record shows who previously accepted service and to document the transition history.

Incoming Agent Info

New registered agent’s full legal name and physical address within the state; a commercial service may use its business address for acceptance of process.

Effective Date

Specify when the change becomes operative; states often accept 'on filing' or a future effective date if permitted by statute.

Agent Consent

Many states require the new agent to sign an acceptance of appointment or to attach a separate consent form confirming willingness to serve.

Authorized Signature

Signature, printed name, title, and date of an officer or authorized party. Some states require corporate minutes or a board resolution to support the change.

Step-by-Step: Filing a Change of Agent

Follow these sequential steps to prepare and submit a Business Change of Agent Form correctly and reduce processing delays.

  • 01
Confirm Authority: Verify who may sign under governing documents and state rules.
  • 02
Obtain Agent Consent: Get a signed acceptance from the new registered agent.
  • 03
Complete the Form: Fill entity details, new agent address, effective date, and signatures.
  • 04
File with SoS: Submit filing and pay the state fee; request expedited processing if needed.

Where to File and What to Expect After Submission

The filed form goes to the Secretary of State or equivalent filing office that maintains business entity records; processing times and returned confirmations vary by state.

  • Filing Office: Secretary of State business division
  • Submission Methods: Online portal, mail, or in-person
  • Processing Result: Updated public record and confirmation
  • Notification: Copies returned to filer and agent

How to Configure an Online Change-of-Agent Workflow

If you automate the form, set authentication, required fields, agent consent capture, and automated notifications for all parties.

Field Configuration
Authentication Method Email link or SMS code for signer verification
Required Fields Entity name, file number, agent name, agent address
Agent Consent Capture Separate signed acceptance field for the new agent
Notifications Automatic emails to filer and agent with signed copy

Digital Filing and eSignature Requirements

Choose a platform that produces a state-acceptable signed PDF, records an audit trail, and supports required signer authentication.

  • File Formats: PDF and DOCX accepted
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, or stronger KBA

Ensure the platform can export a tamper-evident signed PDF plus an audit report containing timestamps, IP addresses, and signer attribution.

Common Errors to Avoid When Preparing the Form

  • Using an incomplete or informal business name causes administrative rejection and delays state processing by requiring corrective filings.
  • Providing a P.O. box instead of a physical agent address when the state mandates a street address can result in non-acceptance.
  • Failing to obtain a written acceptance from the new agent may violate state rules and lead to mail or service being returned.
  • Not updating related records (licenses, tax registrations) after the agent change creates mismatched contact points and compliance gaps.

Consequences of Failing to Properly Change an Agent

Service Failure: Missed legal notices
Default Judgment: Increased risk of losing cases by default
Administrative Action: Possible suspension or dissolution
Personal Liability: Officers face collection risk in some cases
Fines and Fees: Late filings may incur state penalties
Business Disruption: Operational impacts from lost communications
