What a Business Channel Agreement Covers

A Business Channel Agreement is a written contract that defines how a principal (vendor, manufacturer, or service provider) and a channel partner (reseller, distributor, agent, or referral partner) will work together to market, sell, or distribute products or services. It sets the scope of the channel, geographic or vertical territories, pricing and revenue share or commission mechanics, performance metrics, exclusivity or non‑compete terms, reporting and audit rights, and termination triggers. Parties commonly memorialize onboarding, training obligations, and intellectual property or branding rules. When executed properly it clarifies commercial expectations and reduces downstream disputes.

Why this Agreement Matters for Channel Relationships
