Business CL Contract

This Business CL Contract (the "Agreement") is made effective as of by and between the parties identified below.

Parties

Recitals

WHEREAS, Party A seeks to retain Party B to perform certain business consulting, development, or related services in connection with Party A's commercial operations; and

WHEREAS, Party B represents that it possesses the necessary experience, personnel, and resources to perform the services described in this Agreement and is willing to perform such services on the terms set forth herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which Party B will provide services and Party A will compensate Party B.

Scope of Work

Party B shall perform the services described below and in any attachments incorporated by reference. Party B shall perform such services in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

In consideration for the services rendered by Party B, Party A shall pay Party B the amounts and according to the schedule set forth below. All amounts payable under this Agreement are in lawful currency of the jurisdiction specified in the Governing Law clause unless otherwise agreed in writing.

Term and Termination

The initial term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above. Termination shall not relieve either party of obligations accrued prior to termination, including payment for services performed.

Confidentiality

For the purposes of this Agreement, "Confidential Information" means any non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. The receiving party shall: (a) use Confidential Information only to perform its obligations under this Agreement; (b) take reasonable measures to protect Confidential Information from unauthorized use or disclosure; and (c) not disclose Confidential Information to any third party except as permitted by this Agreement or with the disclosing party's prior written consent. Confidential Information does not include information which is or becomes publicly known through no wrongful act of the receiving party or is rightfully received from a third party without restriction.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Party B further represents that the services will be performed in a professional manner consistent with prevailing industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, NO PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED.

Indemnification and Limitation of Liability

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's breach of this Agreement or its negligent or willful acts or omissions. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of disputes arising under this Agreement.

Entire Agreement and Amendment

This Agreement, together with any written attachments or addenda signed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger or sale of substantially all of its assets, provided that the assignee assumes all obligations hereunder. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the other party at the address set forth above or at such other address as such party may designate by written notice. Notices shall be deemed given upon receipt.
